
General Summary
The Paralegal will be responsible for providing front-line legal support across the company with significant emphasis on Contracts for the Sales & Marketing and Sourcing Groups. This position will also be responsible for maintaining the Corporate contracts database and Corporate Secretary books including Board Minutes and Resolutions. The role is hybrid part-time with a schedule of 20-25 hours a week.
Key Responsibilities
• Maintain the Company’s contracts database of current and expired contracts and agreements.
• Maintain the Corporate Secretary books for all legal entities and prepare appropriate Board of Director resolutions and Board Meeting minutes.
• Maintain Intellectual Property Records for the company.
• Support the Sourcing Department with the construction of contracts and supply agreements.
• Provide assistance to all Departments with standardized NDA’s and development of simple contracts.
• Provide first-line review of Character License Agreements for the Sales Department.
• Provide drafting and proofreading services for agreements prepared by Legal Counsel.
• Assist in preparing materials for legal training for ASO personnel.
• Conduct legal research as needed.
• Other tasks/duties as assigned.

Education & Experience
Bachelor degree or Paralegal Certificate required. At least 5+ years of work experience required including administering contract management database and the review of corporate contracts/agreements and. Prior experience in a medical device, consumer packaged goods manufacturer preferred.
Skills & Abilities
Strong computer skills (MS Office, Outlook required. ERP knowledge a plus), hold superb written and verbal communication skills including copy- editing, along with being comfortable presenting in front of groups as required. Must be able to read and analyze complex contracts and agreements including technical and business information. Must able to multi-task handle multiple functions concurrently. Must be detail oriented, organized and have a positive attitude. Able to work under pressure. Possess initiative, common sense and analytical/problem-solving skills. Able to work both independently and with cross-functional teams (a team player).
