Job Description
Job Title: Paralegal and Board Liaison
Work Group: Legal Services and Compliance

General Purpose of the Job
Assists legal department attorneys in acquiring the information and drafting documents needed to prepare for hearings, closings, and corporate meetings. Prepare legal documents that require an advanced legal knowledge of specific subject areas. Assist all levels of corporation in resolving program and legal issues. Interacts with internal clients and external parties. Assist Corporate Secretary with preparing documents, packets, and minutes and conducting Board meetings and executive and finance committee meetings. Performs other duties and completes special projects as assigned by the corporate attorneys and the Deputy General Counsel.
Essential Duties and Responsibilities:
Performs a wide variety of complex administrative and paralegal tasks in support of the Legal Department. Prepares documents such as reports, memorandums, legal letters, and contracts. Develops and updates contract, grant, and closing document templates, and assists with ad hoc projects and requests. Coordinates/administers transaction due diligence as required. Interacts across all levels with internal clients and external parties, using discretion and independent judgment.
Assists Corporate Secretary with preparation and proofing of Board of Directors and Committee Meeting documents (including agendas, agenda items and resolutions), binders, and files. Set up and attend Board of Directors and Committee Meetings. Prepare Board of Directors and Committee Meetings’ minutes. Updates corporate board documents.
Performs other duties and complete special projects as assigned by Deputy General Counsel and General Counsel.
Knowledge, skills, and abilities required of the position:
Knowledge of:
- Federal housing programs, laws and regulations
- Grant programs/compliance monitoring
- Word processing/ spreadsheet applications such as Microsoft Word/Excel
- Basic rules of grammar and business writing
- Basic mathematic principles

Additional Information:
Position requires knowledge of MS Office Suite products. Position requires understanding of conducting board of director meetings pursuant to Robert’s Rules of Procedure. Position requires ability to work effectively with a wide variety of people, including external contacts as well as cross-departmental teams; ability to work in a team and as an individual to gain consensus; ability to multitask; ability to deal effectively with conflict; ability to work well under high pressure situations; ability to plan and present ideas effectively, both verbally and in writing. Position requires strong analytical skills, including problem-solving and attention to detail.
Education Requirements:
This level of knowledge would normally be acquired through completion of an associate degree in paralegal studies. Two total years of legal experience may be substituted for the degree requirements.
Experience Requirements:
Position requires at least one year experience working in an attorney’s office with an associate degree in paralegal studies.
OR
Without a paralegal degree, position requires a minimum of three years’ experience working in an attorney’s office or in a government legal environment.
