Focus on acquisition, leasing and development of commercial real estate properties, requiring meaningful experience in commercial real estate transactions. Specific duties are as follows:
A. Commercial Real Estate:
1. Utilize Litera Forte software to negotiate revisions of docs with opposing parties; obtain client approvals on final versions;
2. Draft & revise commercial real estate docs., such as secretary’s certificates, opinion certificates, operating agreements, resolutions, declarations, memorandum of leases, notices, extensions, FIRPTA & escrow instructions. Assemble closing Binder, closing checklists & critical dates memo. Draft easement agreements opinion letters, amendments, estoppel certificates, escrow holdback agreement, franchise agreement, management agreements, IP assignment & title objection notices, saving all docs in Firm’s docs management system iManage Work 10 under corresponding client matter number;
3. Draft & negotiate commercial real estate purchase & sale agreements, closing docs, loan docs, including those for HUD, Fannie Mae & Freddie Mac loans, representing borrower or lender as applicable;
4. Prepare signature packages, executed versions of transactional docs; Provide docs to clients electronically for signature using DocuSign;
5. Lead & run closing checklist conference calls using MS Teams and Zoom technology;
6. Submit all billable time worked into Firm’s timekeeping & billing system-Aderant;
7. Conduct commercial real estate title & survey diligence review. Assist drafting & delivery of corrective deed. Review organizational docs. to confirm chain of control. Review & abstract loan docs, leases, declarations, franchise agreements & joint venture docs;
8. Review & revise commercial real estate loan agreements, purchase & sales agreements, franchise agreements, management agreements, fee sharing agreements & joint venture agreements;
9. Review & markup lease agreements, and offer circulars. Arrange corporate services such as registered agents & independent managers;
10. Correspond with clients & other parties involved in transactions in writing using MS Outlook & MS Word;
11. Provide instructions to & supervise junior associates & paralegals;
12. Operate as a main contact point on the team for commercial real estate transactions.
B. Litigation:
(a) Assist employment discrimination cases on appeal with case law research using Westlaw & LexisNexis with some assistance on litigation matters;
(b) Draft legal briefs & review records using Intella Connect.
Job requirements:
Juris Doctor (J.D.) degree in Law; Must have and remain licensed to practice law in any jurisdiction of the U.S.; have Admission to any State Bar in good standing. At least Three (3) years’ experience working on commercial real estate transactions experience and litigation matters. Experience should include working with Microsoft Teams, Zoom technology, DocuSign, Litera Forte, iManage Work 10, and Aderant.
SALARY: $180,000.00/ per year HOURS: M-F, 9:00 a.m. – 6:00 p.m.
