Job Description
Amazon Web Services (AWS) is seeking an experienced Corporate Counsel to support the growing volume of complex cloud agreements for the AWS Non-Profit Healthcare business.
You will negotiate alongside the business team to onboard healthcare institutions to AWS. In this role, you will lead complex negotiations with enterprise customers, including drafting custom contract terms and collaborating with internal stakeholders (such as finance, security, and compliance teams). To be successful, you will be required to facilitate smooth negotiations, strengthen customer relationships, and look around corners identifying novel risks for AWS and proposing solutions.
You will need to understand and be able to explain contract terms to customers. You will lead the effort to resolve all customer questions and concerns in contract negotiations, including collaboration with cross-functional teams on specific areas of concern. You will be an expert in bringing the different AWS teams and the customer to final closure on outstanding issues, including obtaining required approvals, creating executables, and managing their delivery and execution.
We don’t expect every applicant to have experience working with cloud computing, although experience with and an understanding of technology transactions is helpful. Further, to be successful in this position, you must be inquisitive, enjoy working hard and being continually challenged, and demonstrate sound judgment even in ambiguous situations.

- Leading high-stakes, competitive, time-intensive negotiations with enterprise customers.
- Evaluating and drafting custom contract terms
- Influencing and earning trust with customers and AWS business teams
- Collaborating with internal stakeholders and subject matter experts to resolve customer issues and minimize risk to AWS
- Juris Doctor and membership in one state bar or equivalent
- 5+ years of experience practicing law
- 3+ years of experience practicing law in the field of healthcare law
- Complex transactional experience, including directly advising business teams on strategic deals
- Experience working closely with and advising senior executives of an organization or equivalent
- Experience managing multiple projects and meeting aggressive deadlines
- Deep knowledge of the Health Insurance Portability and Accountability Act (HIPAA) and federal and state healthcare regulatory regimes
- Ability to lead customer-facing negotiations and resolve customer questions and concerns, while providing consistent reporting on deal status and outcomes to stakeholders
- Ability to explain standard agreement terms to counterparties and negotiate fallback positions to those terms where appropriate
