Summary 

The Contract Manager is responsible for overseeing all activities related to the organization’s contract administration function, ensuring compliance with company policies and legal requirements. This role involves managing the full contract lifecycle, from preparation and negotiation to administration and risk mitigation, with a focus on efficiency, accuracy, and continuous improvement. The ideal candidate will have a deep understanding of legal terminology and practices, leveraging paralegal experience to ensure contracts are thorough, compliant, and aligned with the organization’s strategic goals.

 

What You’ll Do 

 

  • Lead the preparation, review, negotiation, and execution of various contracts, including but not limited to:
    • Master Subscription Agreements (MSAs)
    • Business Partner Agreements (BPAs)
    • Non-Disclosure Agreements (NDAs)
    • Business Associate Agreements (BAAs)
    • Third-party MSAs, amendments, statements of work (SOWs), and new orders
  • Conduct detailed reviews of contracts to ensure accuracy, completeness, and compliance with applicable laws, company policies, and risk management objectives.
  • Draft and implement standardized contract templates and drive automation efforts to streamline the contracting process.
  • Ensure contracts meet internal governance and risk management guidelines while maintaining high customer satisfaction and responsiveness.
  • Collaborate with the SalesForce administration team to create and maintain a seamless, accurate automated contracting process.
  • Lead internal contract negotiations, provide creative solutions for complex situations, and guide discussions to achieve optimal outcomes.
  • Maintain and update contracting policies and procedures, ensuring clear, consistent, and compliant practices across the organization.
  • Serve as the primary liaison between internal stakeholders (e.g., sales, legal, finance, and operations) and external parties to ensure efficient contract management.
  • Monitor contract terms, obligations, renewals, and amendments to mitigate risk and ensure compliance.
  • Provide regular training and guidance to internal teams on contract-related best practices and policy adherence.
  • Utilize paralegal skills to assist with the interpretation and assessment of legal clauses, providing recommendations to mitigate risk and ensure clarity of terms.

 

What You’ll Bring 

  • Bachelor’s degree in business, law, or a related field; paralegal certification or experience preferred.
  • Minimum of five (5) years of experience in contract management, administration, and negotiation; experience with SaaS contracts highly desirable.
  • Strong understanding of legal terminology and the ability to analyze, interpret, and summarize complex legal documents.
  • Demonstrated experience in managing and negotiating contractual terms across various contract types.
  • High attention to detail with excellent organizational skills to manage multiple, complex contract activities simultaneously.
  • Strong negotiation and interpersonal skills, with the ability to navigate challenging discussions and foster effective relationships with internal and external stakeholders.
  • Experience using Artificial Intelligence (AI) for contracting.  
  • Proficient in MS Office Suite (Word, Excel, PowerPoint) and experience with contract management software or CRM platforms (SalesForce preferred).
  • Ability to think critically, solve problems creatively, and proactively drive continuous improvement in contract processes.
  • Exceptional verbal and written communication skills, with the ability to present complex information in a clear and concise manner.
  • Familiarity with relevant laws and regulations governing contracts, privacy, and data security.
  • Remote workspace: must have a suitable environment conducive to innovation and productivity.

Preferred Qualifications:

  • Experience in a legal, compliance, or regulatory environment.
  • Knowledge of privacy and cybersecurity regulations (e.g. HIPAA) is a plus.
