Description
Corporate Governance
- Manage the corporate documents of the company and those of its affiliates.
- Manage the company set up, corporate structure changes under the supervision of general counsel.
Contract Management:
- Review, draft, and negotiate a wide range of contracts, such as NDA, letters of intent, purchase and sale agreement, lease agreement, construction agreement.
- Collaborate with internal stakeholders to facilitate continuous contracting and process improvements and inclusion of their considerations in document terms
- Manage contract templates, maintain a centralized contract database, and monitor contract renewals and expiration dates.
Compliance
- Improve corporate compliance and provide recommendation to the company and its headquarters under the supervision of general counsel.
General Legal Support:
- Provide legal advice and support to various departments within the organization, including operations, human resources, finance, and marketing.
- Provide legal support in mergers and acquisitions as needed.
- Manage outside counsel as needed.
Requirements
- Juris Doctor (J.D.) degree from an accredited law school.
- Admission to any state bar in U.S. in good standing.
- Minimum of 2 years of experience practicing law in the U.S., preferably with experience in a law firm as well as inhouse in a multinational company.
- Proven experience in contract review, negotiation, and drafting required.
- Effective communication and interpersonal skills, with the ability to interact confidently with stakeholders at all levels under pressure required.
- Ability to work independently and manage multiple tasks simultaneously in a fast-paced environment.
- Bilingual skills preferred but not required.
- Solar industry knowledge preferred but not required.
