Eos is seeking a highly motivated and self-starting paralegal to join the Eos Legal Department. This role will report to the Assistant General Counsel and provide full-time, overall support to the department with a focus on Securities.
Responsibilities
- Assist the Company’s in-house lawyers on matters relating to public company matters including the preparation and review of the Company's corporate and disclosure reports, financial statements, and securities filings (e.g., Form 10-Q, Form 8-K, and Form DEF 14A filings). 
- Manage incoming Securities emails related to insider trading requests and Rule 144 sale requests. 
- Assist the Company’s in-house lawyers on matters relating to Board of Directors including management of Board and Committee calendar and meetings, distribution of Board meeting presentation materials, and maintenance of online Board portal. 
- Administer and manage corporate organizational documents (including articles of incorporation, bylaws, formation agreements, foreign state qualifications, and good standing certificates). 
- Implement, administer, and manage contract approval, execution, and management procedures and contract repository and corporate legal records. 
- Administer and manage legal forms and contracts templates database. 
- Provide support for a wide range of agreements (including confidentiality agreements) such as preparation (e.g., filling in basic information on contract template, proofreading, and collecting business information for schedules/appendices), distribution, and arranging for signatures. 
- Implement, administer, and manage documentation, registrations, permits, certifications, and filings required by various governmental and other regulatory authorities 
- Implement, administer, and manage key corporate compliance policies (including Code of Business Conduct and Ethics and Insider Trading Policy) and compliance training. 
- Assist the Company’s in-house lawyers on matters relating to corporate finance, treasury, securities, mergers and acquisitions, litigation, claims and disputes, and governmental investigations 
- Manage, organize, review, and process legal invoices from external advisors and service providers supporting the Law Department. 
- Serve as a notary for the Company including verification of documents and signatures, and administration of oaths and affirmations. 
- Manage incoming Law Department emails, postal mail, legal notices, expenses, and appointments 
- Collaboratively work with company management and key internal stakeholders across the Company to support the business and operations. 
- Additional tasks may be assigned at any time, with or without notice, in accordance with department and business needs.

Education and Experience
- Bachelor's degree required. 
- Paralegal Certificate required. 
- Minimum of 5 years' experience required. 
- Minimum of 4 years of large law firm and/ or in-house experience required with general corporate, securities, and commercial transactions experience.

- Office Environment - Must be able to remain in a stationary position 50% of the time and occasionally move about inside the office to access file cabinets, office machinery, etc. Required to have close visual acuity to perform an activity such as: preparing and analyzing data and figures; transcribing; viewing a computer terminal; extensive reading. May be required to exert up to 25 pounds of force occasionally to lift, carry, push, pull or otherwise move objects, including the human body.
