We are seeking a Paralegal with commercial contract experience to become an integral part of our team!

Responsibilities: Reporting to our Corporate Counsel, the Paralegal will be responsible for (but not limited to):

  • Preparing customer and vendor agreements.
  • Completing questionnaires and forms from vendors.
  • Drafting contract templates.
  • Maintaining the corporate contract database.
  • Assisting with litigation matters, such as consolidating information and drafting responses to respond to discovery requests.
  • Providing legal support and guidance to business partners to ensure contract terms meet business needs within acceptable risk tolerance thresholds.
  • Identifying contractual risks and providing advice to internal business partners.
  • Performing research and analysis on topics relevant to Upstate’s business.
  • Ensuring the accuracy of agreements, addendums and amendments.
  • Assisting with other issues as identified, including corporate and compliance filings.
  • Maintaining confidentiality of sensitive information and handling issues with the highest level of integrity.
  • Additional duties assigned by management, as needed.
Qualifications
  • Bachelor's degree or Paralegal certificate
  • A minimum of five (5) years of relevant experience
  • Familiarity with legal concepts such as limitation of liability, indemnification, and confidentiality
  • Detail oriented
  • Critical thinking
  • Strong written and verbal communication skills
  • Strong organizational skills
  • Must be proficient in Microsoft Word and Excel.
  • Must have the ability and desire to learn new programs and systems.
