Summary
- In conjunction with the General Counsel and the Vice President, Associate General Counsel, the Senior Corporate Counsel’s primary focus will be serving as primary legal counsel for Centurion Service Group, a wholly-owned operating subsidiary of TRIMEDX, as well as corporate legal counsel for TRIMEDX operations including corporate procurement contract management and review, information technology counseling, and litigation management with an emphasis on internal information gathering and file creation for outside counsel management. The Senior Corporate Counsel will provide general support to Centurion as well as the company’s Indirect Procurement & IT, and internal Legal departments.
Responsibilities
Primary Centurion Legal Counsel – 40%
- Supervise and coordinate all legal matters including compliance (e.g., licensing, logistics, etc.), customer agreements, terms & conditions, vendor agreements, and general legal needs.
- Provide advice to Centurion leadership, Associate General Counsel, and Centurion employees in performance of duties and responsibilities.
- Maintain legal responsibility for commercial transactions, including providing advice and support to business clients on a variety of legal and business issues.
- Draft, review, and negotiate a wide variety of contracts to meet business and legal requirements, including customer agreements, Centurion auction terms & conditions, and vendor agreements.
- Work with outside counsel and coordinate legal advice from subject matter experts.
Corporate Procurement Contracting – 25%
- Coordinate all information necessary to complete corporate procurement contracts for indirect purchasing (e.g., fleet, IT, etc.).
- Provide advice to internal business partners on market terms and reasonable renewal rights, cost controls, and risk mitigation.
- Draft, review, and negotiate a wide variety of contracts to meet business and legal requirements including information technology agreements.
IT Counseling - 15%
- Provide legal counsel and support on information technology including contracting terms, processes, and procedures as well as coordination of security-related needs such as SOC 2 Type II and/or ISO 27001 compliance and related flow-down provisions.
- Provide legal counsel and support on artificial intelligence governance and use.
- Assist with legal oversight of company’s information technology operations.
- Work with outside counsel and coordinate legal advice from subject matter experts.
Litigation Management – 10%
- Provide legal counsel and support on pre-litigation and litigation matters including preliminary information gathering, assessment, and coordination of internal stakeholders and outside counsel.
- Maintain litigation playbook and tracking information.
- Data management and reporting to General Counsel and Associate General Counsel to confirm alignment with litigation management objectives.
- Work with outside counsel and coordinate legal advice from subject matter experts.
Miscellaneous Legal Needs; Management of Legal Responsibilities and Legal Education – 10%
- Support miscellaneous legal needs (e.g., oversight of self-service contracting, review of miscellaneous agreements such as event and/or lodging agreements, and other related matters)
- Assist as needed with overall legal department responsibilities, including management of internal legal responses in accordance with agreed-upon response metrics.
- Assist with legal education presentations to internal business partners.

Skills and Experience
- Experience in corporate legal management and counseling is preferred.
- Experience in indirect procurement and technology contract negotiations and counseling is preferred.
- Knowledge of health care law/industry and regulatory experience is preferred.
- Ability to independently, effectively, and efficiently take initiative, address array of issues, and negotiate/draft contracts.
- Proven ability to partner with internal business leaders.
- Ability to coordinate outside legal services.
- Must have strong integrity and business ethics.
- Must have high-level organizational and problem-solving skills and strong and effective judgment and decision making.
- Must be comfortable working in a fast-paced, team environment and providing regular reporting.
- Must have working knowledge of Microsoft Office applications.
- Must have strong written, verbal and presentation skills.
Education and Qualifications
- Juris doctorate from an ABA accredited law school with accompanying state licensure.
- At least 6 years corporate law experience.
- Relevant experience in the areas of corporate counseling, compliance, contract law, indirect procurement, technology, investigative work, and reporting.
