Corporate Counsel (North America)
Location: South Jordan, UT | Office Hours: 8:30 AM – 5:00 PM
Work Model: 100% onsite in our South Jordan, UT office (no relocation assistance available at this time). Our in-office model supports collaboration, mentorship, and faster decision-making.

The Opportunity: OOCL is seeking a business-minded attorney to play a key role in supporting and strengthening the Legal function for our North America operations. This is a high-visibility, strategic role where you will advise leadership on commercial and compliance matters, partner closely with cross-functional stakeholders, and own matters end-to-end with support from the Head of R&C and Corporate HQ in Hong Kong.
Note: Experience with FMC (Federal Maritime Commission) regulations or maritime matters is a plus — but not required. The Head of R&C will provide support in these areas.
The Department: This position sits within the Risk & Compliance (R&C) department, which includes three specialized branches: Risk Management, Regulatory & Claims, and Legal.
Summary of Responsibilities:
Legal & Compliance
- Serve as a trusted advisor to OOCL North America Group companies, providing practical, business-forward legal guidance.
- Support compliance with applicable maritime and government regulations and internal standards.
- Support regulatory communications and collaborate with R&C teammates.
- Identify when matters should be escalated to corporate HQ and/or outside counsel.
Disputes, Claims, & Outside Counsel Management
- Evaluate claims and disputes, recommend resolution strategies, and support settlement discussions where appropriate.
- Manage litigation and arbitration matters in partnership with outside counsel; coordinate with corporate HQ in Hong Kong as needed.
Commercial Contracts & Negotiations
- Draft, review, and negotiate commercial agreements, including customer service terms and vendor/supplier contracts.
- Lead customer “boilerplate” reviews and negotiations, partnering with business stakeholders to balance risk, service, and commercial objectives.
Risk Management & Issue Prevention
- Identify, assess, and help mitigate legal risks across business operations.
- Support process improvements, templates, and guidance that reduce recurring legal issues and accelerate contract execution
What You’ll Work On (Examples):

- Vendor/supplier agreements
- Claims/disputes triage with Claims team
- Compliance questions in a regulated transportation environment
- Cross‑border coordination with corporate HQ
Qualifications:
- Juris Doctor (JD) from an accredited law school
- Active license in at least one US jurisdiction
- Minimum 3 years of legal practice (law firm and/or in-house)
- Demonstrated experience drafting and negotiating complex commercial agreements
- Experience with claims, dispute resolution, and/or regulatory enforcement matters
- Strong understanding of corporate law principles and regulatory frameworks
- Excellent written/verbal communication and negotiation skills
- Strong judgment, ability to prioritize, and comfort managing multiple matters independently
- Proficiency with legal technology and standard business tools
Preferred Skills:
- Experience supporting regulated industries (transportation/logistics preferred)
- Experience with FMC (Federal Maritime Commission), CBP (Customs & Border Protection), and/or C-TPAT-related (Customs-Trade Partnership Against Terrorism) communications and compliance
- Familiarity with international conventions/treaties or cross-border legal matters
- Exposure to maritime law or global trade-related issues
What Success Looks Like:
First 30 days
- Build strong working relationships with the Head of R&C and key partners (Sales, Ops, Procurement, Claims, Regulatory, HR, Finance).
- Learn OOCL’s business model, risk profile, contract workflow, and escalation protocols with HQ/outside counsel.
- Begin handling contract reviews and day-to-day legal inquiries with appropriate supervision and guidance.
- Establish a clear intake/triage approach for contracts and claims/disputes.
By 60 days
- Independently manage a consistent volume of customer boilerplate and vendor contract reviews with business stakeholders.
- Provide timely, practical legal guidance on routine compliance questions and issue-spotting.
- Take ownership of claims/disputes triage flow with the Claims team; recommend resolution paths and escalation as needed.
- Partner effectively with outside counsel and coordinate matters with HQ when required.
By 90 days
- Operate as a trusted advisor to leadership, balancing legal risk with business priorities.
- Improve speed and consistency through recommended templates, playbooks, and negotiation guidance (as appropriate).
- Demonstrate strong matter ownership: contract negotiation through execution, dispute evaluation through resolution, and clear communication throughout.
- Identify 1–2 meaningful process improvements to reduce recurring risk and improve efficiency.
