As Corporate Counsel, you will be an integral part of our legal team and will be responsible for drafting, reviewing and negotiating a wide range of complex contracts including master service agreements, statements of work, licenses, releases, and procurement contracts. You will work closely with various departments and lines of business across the organization to ensure legal compliance, mitigate risk, and support the company's strategic objectives. The ideal candidate must be able to advise on matters involving litigation, intellectual property, data privacy, employment, and regulatory compliance. This role requires knowledge and experience in commercial transactions, the ability to produce high quality work in a fast-paced environment, strong business acumen and superior communication skills. The ideal candidate must be a problem solver who can identify substantive legal and business issues and proactively provide creative solutions.
This position will support our Legal team. It is eligible to work a hybrid schedule, generally requiring work in-office 2-3 days per week. The ideal candidate will be based out of Dallas, TX.
- Draft, negotiate, and advise on a wide range of commercial agreements, including master service agreements, statements of work, licenses, releases, and procurement contracts.
- Ensure contracts comply with company policies, legal requirements, and industry best practices.
- Develop and maintain contract templates and play a key role in contract management processes.
- Collaborate with internal stakeholders, including Finance/Accounting, Human Resources, IT, Tax, and Risk, to provide legal support and guidance on a wide range of matters.
- Assist in establishing and maintaining appropriate policies, procedures, and training to ensure company compliance with applicable laws.
- Monitor regulatory developments and industry trends to ensure ongoing compliance with applicable laws and regulations.
- Provide legal guidance on data privacy and security matters, including GDPR, CCPA, and other relevant regulations.
- Partner with Labor Relations and Human Resources to provide counsel on labor and employment matters and up-to-date direction on applicable changes in legislation or case law.
- Provide counsel to management on corporate governance matters and conduct research and due diligence in connection with business transactions.
- Conduct risk assessments and audits, as necessary, including advising management on potential litigation and dispute resolution strategies.
- Juris Doctorate (J.D.) Degree from accredited law school.
- 5+ years of substantive experience with a corporate legal department or a nationally recognized law firm.
- In-house experience with large multi-national company.
- Experience as a legal business partner to internal clients.
- Strong communication skills required.
- Membership in good standing of a with at least one state bar.
