Reports To: Director, Legal Commercial & Managing Attorney for the Americas

The Role:

We’re looking for a lawyer who can partner closely with our $300M+, fast-growing (10%+ YoY) global VetSoft business, leveraging legal insights and deep software industry experience to enable us to move faster while effectively managing risk and achieving business outcomes.  The Associate General Counsel (Global Veterinary Software) will play a key role engaging with our software business leadership, directing complex SaaS software-related and other commercial transactions with our corporate customers, and helping to shape and implement our workflow, data, B2B/B2B2C, and related key strategies.

IDEXX’s VetSoft Business:

The IDEXX VetSoft business focuses on providing innovative, data-insightful software and data solutions that enable our veterinary customers to improve practice management and efficiency, staff productivity, and communications with pet parents.  The business centers on our multiple practice management systems (PIMS) offerings – ezyVet, Cornerstone, IDEXX Neo, and Animana – that serve a wide range of customers within North America, Europe, Australia, New Zealand, and beyond.  We also provide patient management and workflow optimization offerings including SmartFlow and VetRadar; the specialized hospital communication/referral platform rVetLink; client communication tools including our new Vello offering; and preventive care plan management software (Petly Plans).  The business extends through integrated services provided via organic and multiple third-party solutions in areas including payment solutions, data backup & recovery, online pharmacy, and therapeutics, as well as our proprietary Greenline Pet platform for digitally-managed coupon and rebate programs.

What You Will Do:

As software, workflow, data and AI become an increasingly important part of IDEXX’s commercial success, this is an opportunity to step into a high-visibility role in a business and company where innovation is a core strategy.  You will act as trusted legal advisor and business partner to VetSoft leadership and the business as a whole, helping to formulate strategy and using your strong legal skills, business acumen, and technical understanding of software and the software industry to provide business-minded legal solutions that enable the business to grow globally with effective management of risk.

You will partner closely with software development teams to support the rollout of new features and functionality, identifying and addressing core legal issues early in the product lifecycle such as data use and privacy.  You will structure and draft our global SaaS terms and other relevant parts of our global contracting framework, negotiate software and software-adjacent commercial contracts including customer-facing agreements, and engage in licensing, development, integration and service agreements with vendors and partners.

You will join a highly-respected 45+ person global Legal & Compliance team, and the group of commercial lawyers that engages with our large corporate customers.  You will identify areas where specialized expertise is needed, collaborate with in-house colleagues on general commercial, antitrust, privacy, data use, regulatory, and dispute-related issues, and retain and oversee outside counsel as needed.  In collaboration with our Legal Operations Team, you will identify opportunities for, and help design, implement, and manage, contract processes and related infrastructure enabling efficient commercial contracting and delivery of legal services at scale.

What You Need To Succeed:

Education/Bar Membership

  • J.D. or equivalent, with top academic credentials
  • Bar membership in good standing in at least one U.S. jurisdiction

Experience

  • Substantial experience (10+ years) in private practice or in-house (both preferred), ideally in a multinational context, in substantive areas of SaaS software development, licensing and commercial contracts; experience working directly with business leadership as well as with internal business/sales teams and customers is critical
  • Experience in a highly-matrixed, multinational, public company environment is highly valued

 Required Skills and Abilities

  • Demonstrated excellent core legal skills, centered on general and software-specific commercial contract structuring, drafting and negotiation experience
  • Deep experience supporting SaaS products, including creation and evolution of standard terms and best practices; experience with emergent legal issues such as AI highly valued
  • Understanding of privacy matters in a commercial context, particularly as it applies to SaaS offerings
  • Ability to grapple successfully with complexity and to translate complex legal issues into practical guidance for business stakeholders and legal colleagues 
  • Demonstrated ability both to collaborate effectively in a team environment, and to build strong collaborative connections and relationships with clients and colleagues across a global organization  
  • Ability to build credibility quickly with stakeholders, and to provide practical legal expertise in challenging and complex business situations
  • Ability to confidently apply legal and business judgment in novel, fast-moving situations of significant value and impact 
  • Exceptional business judgment and creativity with a track record of collaborating and thriving in a fast-paced, team environment
  • Ability to simultaneously take action that tackles immediate problems while building programs and processes that problem-solve at a programmatic level
  • Ability to work without close oversight, and confidence to know that asking good questions is a strength  
  • Excellent organizational skills, including project management 
  • Superior analytical, written and verbal communication skills in both one-to-one and group contexts, in contexts ranging from negotiations to operational settings to senior executive briefings 
  • Comfort in use of legal operations tools including contract lifecycle management, workflow, e-billing/matter management platforms, and emerging AI tools 
  • Experience with Microsoft Office applications, including PowerPoint, Excel, and Teams
