Your Opportunity
One Permanent Full-Time Position
Capital Power Corporation is seeking an experienced and strategic Senior Legal Counsel in Phoenix, to join our corporate counsel team. This is a key role supporting a dynamic Independent Power Producer with an exciting strategic plan focused on growth and high performance, where you’ll help shape processes, advise on complex corporate matters including high impact M&A, strategic initiatives, and other specialized contractual arrangements, and directly impact our continued success.
We’re looking for a business-minded, solutions-driven lawyer who thrives in a dynamic environment, enjoys building structure amid change and growth, and partners closely across teams to make things happen.
You will contribute to our team by:
Playing a pivotal role in supporting our corporate/business development activities, including key M&A matters and other strategic initiatives such as partnership and joint venture projects:
Working with our business development team to assess and explore potential opportunities, including the potential acquisition of new assets across the United States
Leading and coordinating legal due diligence, and working on the drafting and negotiating of agreements
Advising senior management on legal issues arising in complex transactions
Providing practical, solutions-oriented corporate-commercial advice on a variety of matters:
Supporting supply chain management and operations
Working with external counsel on the drafting and negotiation of complex and specialized contracts relating to our assets across the United States, including Power Purchase Agreements and re-contracting matters; Operations & Maintenance Agreements; Long-Term Service Agreements; and other project and asset-related contracts
Staying current on industry developments in an exciting sector navigating an evolving external operating environment, including data centers and their anticipated impact on demand, dynamic policy and regulatory considerations across North America, and related market structures
Building strong relationships with stakeholders and leaders across the business, collaborating cross-functionally to drive successful outcomes and continuous improvement
Creating and refining processes, tools, and frameworks that strengthen our evolving legal function, and create efficiencies and scalability for our team and the organization as a whole
Managing and directing external counsel
What you will bring to the role:
Education:
Bachelor of Law (LL.B.) or Juris Doctor (J.D.) degree.
Experience:
8+ years of legal experience, including 5+ years in a leading law firm or corporate in-house setting.
Experience supporting M&A, corporate development, and strategic initiatives.
Strong background in corporate and commercial law, ideally within the energy sector.
Excellent drafting, negotiation, and communication skills.
High ethical standards, strong business acumen, sound judgment, and adaptability in a fast-paced, dynamic environment.
Collaborative, relationship-focused approach with the ability to build trust and influence across the organization.
