Job Summary
The position reports to the Senior Attorney - Corporate and is responsible for providing legal support to the operations function within the Valaris Legal Department.
Principal Duties and Responsibilities
- Support the Senior Attorney – Corporate and the overall functions of the Valaris Legal Department on a global scale.
- Manage and provide legal support for subsidiary management, including international branches and joint venture governance, as assigned.
- Manage and provide legal support for all needs of Valaris’ subsidiary governance and administration, including the formation, liquidation and maintenance of good standing status of subsidiaries.
- Provide legal support for financial statement approval, execution and filings.
- Provide legal support for intercompany restructuring transactions and intercompany agreements.
- Manage and provide legal support for the sale of rig assets.
- Proficient use of hCue for the sourcing of subsidiary and affiliate company information within the Valaris corporate structure.
- Provide legal support for review, drafting and revision of corporate resolutions, various intercompany agreements and other corporate contracts.
- Collaborate closely with other practice groups, including accounting and tax, on subsidiary legal requests.
- Develop processes, procedures, and standardization to capture best practices within areas of responsibility.
- Maintain a database of template agreements.
- Develop and implement goals for areas of responsibility and ensure delivery and execution on a timely basis of such goals.
- Provide high-quality and cost-efficient paralegal services to support Valaris’ business goals in a manner consistent with the company’s core values.
- Liaising with corporate agents, embassies and consulates in respect of attestation and legalization of documentation for use in international jurisdictions.
Qualifications
- Bachelor’s degree from accredited college or university is preferred
- Paralegal Certificate from an accredited school preferred
- Licensed Notary Public for the State of Texas preferred
- Minimum of 2 to 5 years of paralegal experience
