Job Summary

The position reports to the Senior Attorney  - Corporate and is responsible for providing legal support to the operations function within the Valaris Legal Department. 

Principal Duties and Responsibilities

  • Support the Senior Attorney  – Corporate and the overall functions of the Valaris Legal Department on a global scale.
  • Manage and provide legal support for subsidiary management, including international branches and joint venture governance, as assigned. 
  • Manage and provide legal support for all needs of Valaris’ subsidiary governance and administration, including the formation, liquidation and maintenance of good standing status of subsidiaries. 
  • Provide legal support for financial statement approval, execution and filings. 
  • Provide legal support for intercompany restructuring transactions and intercompany agreements.
  • Manage and provide legal support for the sale of rig assets.
  • Proficient use of hCue for the sourcing of subsidiary and affiliate company information within the Valaris corporate structure.
  • Provide legal support for review, drafting and revision of corporate resolutions, various intercompany agreements and other corporate contracts.
  • Collaborate closely with other practice groups, including accounting and tax, on subsidiary legal requests. 
  • Develop processes, procedures, and standardization to capture best practices within areas of responsibility.
  • Maintain a database of template agreements.
  • Develop and implement goals for areas of responsibility and ensure delivery and execution on a timely basis of such goals.
  • Provide high-quality and cost-efficient paralegal services to support Valaris’ business goals in a manner consistent with the company’s core values.
  • Liaising with corporate agents, embassies and consulates in respect of attestation and legalization of documentation for use in international jurisdictions.

Qualifications

  • Bachelor’s degree from accredited college or university is preferred
  • Paralegal Certificate from an accredited school preferred
  • Licensed Notary Public for the State of Texas preferred
  • Minimum of 2 to 5 years of paralegal experience
