Job Description

Benetrends is seeking a detail-oriented and proactive Corporate Service Associate (Corporate Paralegal/Incorporator) to support entrepreneurs in establishing their businesses. This role is vital in preparing and filing legal documents to form corporate entities, while ensuring full compliance with state and federal requirements. You'll play a key role in helping our clients navigate the complexities of corporate formation and governance.— Open to residents of AZ,CA, CO, FL, GA, IA, MD, MI, MA,NC,NY,NJ, NY, OH, PA, SC, TX, UT, VA

Key Responsibilities:

  • Prepare and file legal documents to form and maintain corporate entities, including:
    • Articles of Incorporation
    • DBA (Doing Business As) registrations
    • Amendments, Dissolutions, and Conversions (LLC to C-Corp, etc.)
    • S-Corp to C-Corp revocations
    • Foreign entity qualifications
    • State-specific licenses and filings
  • Obtain EINs from the IRS and complete SS-4 forms
  • Coordinate client signatures and documentation needs
  • Draft and send corporate governance documents (minutes, bylaws, stock certificates, addendum's)
  • Work with Registered Agents and other external parties as needed
  • Accurately communicate corporate responsibilities and state compliance requirements to clients
  • Support clients and internal stakeholders with timely communication and document handling
  • Maintain data accuracy and integrity in process and document management systems

Qualifications:

  • Prior experience as a Corporate Paralegal, Incorporator, or in a legal administrative role
  • Paralegal Certificate preferred
  • Familiarity with business formation processes and state-specific requirements
  • Proficiency in document management and process management systems
