
The Associate General Counsel will be the primary legal advisor to Aqua’s Treasury and Capital Markets functions (and counterparts at a premier global private equity firm). This individual will be responsible for various matters related to securitization transactions, compliance, asset management, contract management, corporate governance and more.
Essential Functions
Provide strategic legal advice and daily support on a wide range of asset-backed securitization transactions
Act as the primary point of contact for internal teams on all securitization-related legal matters
Ensure transactions are structured and executed in compliance with applicable laws, regulations, and investor requirements
Draft, review, and negotiate complex transactional documentation, including purchase agreement indentures, offering documents, and servicing agreements
Serve as a trusted legal advisor to the Treasure and Capital Markets teams, offering guidance on deal structures, financing strategies, and compliance with relevant financial regulations
Partner with counterparts at Apollo Global Management and other institutional partners to ensure alignment and legal integrity in deal execution
Lead and oversee the work of outside legal counsel to ensure high-quality, cost-effective legal services on securitizations and related matters
Coordinate the external counsel’s deliverables to algin with business objectives and internal timelines
Provide legal support on corporate lending, credit facilities, and other structured finance matters as they arise
Advise internal stakeholders on regulatory requirements affecting capital markets transactions and other applicable rules
Oversee legal aspects of corporate governance, including board resolutions, consents, and governance documentation
Ensure legal entity structures align with transactional and regulatory needs
Assist with general corporate legal matters, including contract drafting and negotiation, vendor agreements, and internal policy reviews
Collaborate across departments to ensure legal best practices are integrated into operations
Required Education and Experience
Bachelor’s degree in related field required
Juris doctor degree from an ABA approved law school required
Licensed by and in good standing with at least one US state bar required
5 years of experience advising financial institutions on structured finance transactions, including warehouse, forward flow facilities and asset-backed securities/securitized products required
Familiarity with private credit and other asset-based finance asset classes required
Experience with consumer and commercial financing
Ability to communicate with internal audiences with varying degrees of expertise from entry-level personnel to executive management
Attention to detail and accuracy required
Excellent verbal and written communication skills required
Proficient in the utilization of Microsoft Office Suite
Ability to thrive in a fast-paced work environment

This position is an office-based position where you must be able to sit for long periods of time. The employee will be working on a computer 90% of the time.
