The Client: An Amlaw 200 firm with a large network in the corporate world, serving clients in Private Equity, Insurance, Banking & Financial Institutions and any company, corporation or sole proprietor by advising them on legal ramifications of complex commercial transactions and how to best protect their companies, particularly with Securities Law, Deferred Compensation, Tax Advisory, etc.
Job Summary:
Our client, a distinguished AmLaw 200 firm, seeks a mid-level attorney with 3-8 years of experience to join its corporate business unit in a hybrid role based in Atlanta. The selected candidate will handle a broad range of corporate and transactional matters, including:
- Drafting and negotiating entity formation and governance documents.
- Preparing operating agreements, merger and acquisition contracts, private equity and venture capital financing documents.
- Managing compliance documentation and complex commercial agreements.
This role involves substantial client interaction, requiring proficiency in client communications and negotiation across various business transactions. The ideal candidate will be detail-oriented, possess a strong work ethic, and excel in collaborative team environments. Solid academic credentials, strong interpersonal skills, and effective communication abilities are essential.
Key Responsibilities:
- Provide legal counsel on corporate governance matters.
- Negotiate and draft agreements related to mergers, acquisitions, and financing transactions.
- Ensure compliance with applicable laws and regulations in all corporate dealings.
- Collaborate within the Corporate team to deliver high-quality legal services to clients.
Required Skills and Certifications:
- 3 to 8 years of corporate legal experience.
- Corporate defense experience.
