SUMMARYResponsible for advising on a broad range of legal issues, including reviews, drafting, and negotiating a variety of contracts and other forms, in addition to other general corporate and compliance matters.ESSENTIAL DUTIES AND RESPONSIBILITIESReviews, drafts, negotiates, and advises on a wide range of contracts, including employment agreements, equity documents, separation agreements, account purchase agreements, independent contractor agreements, vendor agreements, data privacy agreements, collaborative agreements, and confidentiality agreements.Partners with multi-functional transactional teams, including corporate and business development, accounting, sales, and human resources, on company policy, process, and procedure development and legal compliance.Assists internal and external legal counsel with providing guidance on legal matters, and anticipates, mitigates, and advises on any potential legal problems across corporate groups, client engagements, and third-party relationships.Advises Alliant business groups on a diverse range of employment-related issues, including with respect to wage and hour, employee relations, hiring practices, performance management, employee separations, leave requests, accommodations, and general HR compliance.Assists with developing and implementing legal compliance projects.Works with external counsel and internal business teams to respond to subpoenas and litigation discovery requests.Supports pre- and post-close merger and acquisition activity, including reviewing transaction-related agreements, improving transaction-related processes, and collecting, reviewing, and preparing information for due diligence.Supports, initiates, and drives legal department process improvements to increase efficiencies and support business objectives.Reviews and revises internal legal policies, processes, and procedures.QUALIFICATIONSEDUCATION / EXPERIENCEJuris Doctor degree from an ABA-accredited law school is requiredA member in good standing of at least one State Bar or the District of Columbia State Bar is requiredThree (3) or more years of corporate transactional law is requiredExperience in reviewing, drafting, and negotiating contracts is requiredExperience in employment law and/or mergers and acquisitions practice is preferredSKILLSExcellent verbal and written communication skillsAbility to give legal guidance in a practical, business-oriented manner to non-lawyer company representatives in order to help reach solutionsAdvanced analytical, problem-solving, and time management skillsStrong interpersonal skills and ability to establish good professional relationships with internal clients, management, and legal colleaguesExcellent planning, organizational, and prioritization skills, including the ability to multitask on multiple high-priority projectsGood judgment, including good business judgmentProficient in Microsoft Office products
