Job Description

This position is responsible for managing all aspects of the commercial real estate closing process for acquisitions and dispositions.  The successful candidate will work closely with management, investors and external parties to draft and negotiate various legal documents and oversee the successful closing of property acquisition and sale transactions on behalf of AEI and its affiliated investment programs.  This position will also be responsible for drafting letters of intent, lease amendments and other documents in  support of the Asset Management and Acquisitions departments.

1.      Draft and assist with the negotiation of and coordinate the execution of Purchase and Sale Agreements and other documents for the acquisition or sale of commercial properties across the nation.

2.      Collaborate with Acquisitions and Asset Management to identify and resolve transaction-related issues that may arise.

3.      Coordinate signing and delivery of documents with investors, purchasers and other third parties.

4.      Analyze, organize and deliver due diligence documents produced for property acquisitions and property sales to ensure compliance legal agreements and  company standards. Prepare summaries of relevant information for the SVP- Asset Management, Acquisitions Committee and legal counsel.

5.      Coordinate services with third parties, such as outside legal counsel, environmental engineers, title search firms, surveyors, etc., to ensure that all necessary due diligence is completed and transactions close within specified  timeframes.

6.      Coordinate with outside counsel and title companies to clear title objections, identify potential risk scenarios.

7.      Request and obtain estoppels from tenants, declarants, easement holders and others with authority over the property.

8.      Work with qualified intermediaries to facilitate successful 1031 exchanges.

9.      Draft and proof closing documents for legal counsel review.

10.   Conduct closings for purchase and sale transactions. This includes drafting and negotiating the closing documents in accordance with company policies, working with surveyors and title companies for resolution of final survey and final owner’s title policy, working with title companies on closing documents/statements, and coordinating with accounting department to ensure all closing funds were properly received/distributed.

11.   Prepare closing packages. Review and finalize title company closing statement and coordinate with the Accounting department prior to funding to ensure all financial controls have been met.

12.   Organize electronic files upon closing and provide relevant information to the Asset Management and Accounting departments.

Create and review lease amendments and other lease-related documents. 

13.   Review and interpret property-related legal documents to determine rights, obligations, and responsibilities of various parties.
