ROLE SUMMARY
The Associate General Counsel (AGC) serves as the primary deputy to the General Counsel and a senior legal advisor to Priority Ambulance leadership. This role provides strategic and practical legal guidance across the organization, with a strong focus on commercial contracting, regulatory and compliance support, risk management, and dispute/litigation oversight. The AGC partners closely with Operations, HR, Finance/Revenue Cycle, Compliance, and leadership teams to enable growth while protecting the company’s legal and ethical interests.
KEY RESPONSIBILITIES
Business & Strategic Legal Counsel
- Advise senior leaders on legal considerations impacting business strategy, operational decisions, and growth initiatives.
- Translate complex legal issues into clear, actionable recommendations that balance risk and business needs.
- Serve as the General Counsel’s delegate on assigned projects and cross-functional initiatives.
Commercial Contracts & Transactions
- Draft, review, negotiate, and manage a broad range of agreements, including customer/service agreements, vendor contracts, leases, employment-related agreements, NDAs, and business associate agreements.
- Establish and maintain contract standards, templates, and process improvements to support efficiency and consistency.
Regulatory, Compliance & Governance Support
- Support enterprise compliance and legal risk management in a highly regulated healthcare/EMS environment.
- Partner with the Compliance Department on policy development, investigations, and regulatory readiness.
- Monitor legal and regulatory developments and advise leadership on operational impacts and mitigation strategies.
- Assist with Board reporting and governance activities as needed.
Disputes, Claims & Litigation Oversight
- Manage and resolve disputes, claims, and litigation, including coordination with executives, insurers, and outside counsel.
- Implement consistent matter management practices, including budgeting, reporting, and outside counsel oversight.
Outside Counsel & Legal Operations
- Select, supervise, and evaluate outside counsel for specialized matters; ensure quality, responsiveness, and cost control.
- Improve legal department processes, including matter intake, contract tracking, approvals, and training.
Training & Cross-Functional Enablement
- Provide training and guidance to business partners on key legal topics such as contracting, compliance, risk, and ethics.
- Partner with HR on employment-related legal issues and policy development when needed.

WORK ENVIRONMENT & TRAVEL
Professional office environment with standard office equipment; occasional travel and on-call availability may be required.
Qualifications
REQUIRED QUALIFICATIONS
- Juris Doctor (JD) from an accredited law school.
- Active membership in good standing with at least one state Bar.
- Minimum of 10 years of legal experience in a law firm and/or in-house environment with strong commercial contracting and business counseling experience.
PREFERRED QUALIFICATIONS
- Experience in healthcare, insurance, EMS, or other regulated service organizations.
- Experience advising senior leadership and/or working with a Board of Directors.
- Litigation/dispute management experience, including oversight of outside counsel and insurers.
