Requirements
PRIMARY DUTIES & RESPONSIBILITIES
Be an essential player in drafting and negotiating key agreements, ensuring that all terms are meticulously articulated and aligned with the strategic goals of the organization. This includes:
- Power Purchase Agreements, which are pivotal for securing long-term energy sales and establishing reliable revenue streams.
- Purchase and Sale Agreements, encompassing both membership interest and asset purchase agreements, facilitating smooth transitions in ownership while safeguarding the company’s interests.
- Community Solar Aggregator Agreements, which play a crucial role in expanding access to renewable energy resources for various stakeholders.
- Community Solar Subscription Agreements designed to foster participation and investment in solar energy projects, thereby contributing to sustainable community development.
Review, edit, and prepare a comprehensive range of essential legal documents and routine agreements, including, but not limited to, non-disclosure agreements, assignment agreements, lender consents, estoppels, lien waivers, and numerous other agreements that are vital to protecting the company’s legal standing and operational integrity.
Collaborate closely with the Land Team, Development, and Business Development Teams on a myriad of legal matters, ensuring that all contractual relationships are properly managed and executed. This includes working on:
- Letters of Intent and related term sheets, which are critical for initiating negotiations and outlining preliminary agreements.
- Decommissioning Agreements and associated bonding requirements that guarantee responsible project closure and compliance with regulatory standards.
- Road Use Agreements that allow for the safe and efficient transport of materials associated with company projects.
- Interconnection Agreements necessary for integrating renewable energy systems with the electricity grid.
- Engineering Services Agreements to secure the expertise required for successful project implementation.
- Agri-Voltaic Related Agreements that combine agricultural production with solar energy generation, promoting sustainability in land use.
- Renewable Energy Credit (REC) Agreements that are essential for compliance with environmental regulations and for maximizing company benefits related to renewable energy generation.
- Managing landowner concerns and addressing general issues in site control agreements to maintain good relationships and foster community support.
- Coordinating title and site diligence inquiries with the Finance and EPC Team to ensure a thorough evaluation of project feasibility and compliance.
Liaise effectively with local counsel to address jurisdiction-specific requirements and issues, such as land use and permitting, community solar program regulations, lien laws, tax matters, and business registrations, thus ensuring compliance with all applicable laws and regulations.
Ensure adherence to the Company Authority Matrix and Underwriting Standards, thus maintaining the integrity and accountability of all legal and financial transactions.
Provide continuous compliance support related to financing agreements, ensuring that all financial obligations are met and that the company remains in good standing with its partners and stakeholders.
EDUCATION & KNOWLEDGE- Juris Doctorate from an accredited law school, showcasing a foundation in legal principles and critical thinking.
- 7 to 10 years of relevant legal experience, with expertise in laws and regulations to navigate complex issues.
