
Job Description
Standard Solar, a Brookfield Renewable Company, is a leading independent power producer focused on acquiring, developing, funding and operating DG-scale solar energy and storage projects throughout the US. We are looking to expand our in-house legal department with an attorney who has direct experience with preparing and negotiating agreements for the acquisition and development of DG-scale solar energy projects.
Essential Duties and Responsibilities:
· Provide transactional legal support for distributed solar acquisition and development transactions – community solar, C&I/behind the meter, virtual net-metered, and AC/DC coupled storage
· Review, draft and negotiate relevant agreements including MIPA/APAs, PPAs & VPPAs, term sheets and letters of intent, and other agreements ancillary to the acquisition and development of projects transactions
· Serve as lead attorney on acquisition and development transactions
· Prepare and negotiate term sheets and LOIs for the acquisition of assets
· Provide practical legal advice and support on various commercial and legal matters relating to the acquisition and development of solar energy projects
· Provide project-level legal leadership and support to the transactions and business development/deal origination teams
· Advise General Counsel on risk management and contractual obligations.
· Engage and manage outside transactional counsel
· Play an integral role in the broader in-house legal team
· Interface directly with developer, seller and offtake counterparties
· Ensure quality, clarity and consistency across acquisition transactions
· Reports directly to the General Counsel and Chief Development Officer
Minimum Education, Skills and Qualifications:
· Juris Doctor from accredited law school
· At least 5+ of experience in a law firm or in-house to renewable energy transactions, preferably in solar
· Extensive MIPA experience a plus, strong working experience with MIPA/APAs required, PPA experience a plus as well
· Ability to work closely with cross-functional internal teams and manage several transactions simultaneously
· Excellent interpersonal, communication, negotiation, and legal leadership skills
