Job Description

Trueline's client, a prestigious law firm in Los Angeles, is seeking a Corporate Practice Associate to join their dynamic team.


What You'll Do as the Corporate Practice Associate:

- Handle a broad range of corporate transactions, including private equity offerings, mergers and acquisitions, and joint ventures

- Draft and review LLC agreements, LP agreements, and other related documentation

- Assist with investment fund formation and ongoing investment firm operations

- Provide counsel on securities laws, rules, and regulations

- Support real estate joint ventures and securities offerings related to syndications

- Contribute to M&A transactions, including asset and equity purchase deals


You'll Succeed as the Corporate Practice Associate if you Have:

- 3-6 years of experience in corporate law, preferably from an AmLaw 200 firm

- Strong knowledge of federal securities laws and regulations

- Experience with venture capital, growth equity, or private equity firms

- Familiarity with the Investment Company Act, Investment Advisers Act, and Securities Act

- Excellent academic credentials and analytical skills

- Outstanding written and verbal communication abilities

- A collaborative mindset with the ability to work independently when needed

- A proactive, self-starting attitude and strong work ethic

- Admission to the State Bar of California
