This position is posted by Jobgether on behalf of BGM. We are currently looking for a Commercial Counsel (SaaS) in California.
This role provides an opportunity to act as a strategic legal partner to commercial teams, managing end-to-end deal work for enterprise and mid-market clients. You will oversee contracts, data privacy matters, and commercial negotiations while streamlining processes to enable faster, scalable business growth. The ideal candidate thrives in a fast-paced, collaborative environment, balancing legal rigor with practical business judgment. You’ll collaborate cross-functionally with Sales, Customer Success, Product, and Security teams, helping the organization navigate complex agreements while supporting operational and revenue objectives. This position allows for direct impact on commercial strategy and risk management while providing guidance across the organization.
Accountabilities· Draft, review, and negotiate SaaS agreements, subscription/order forms, SOWs, professional services agreements, reseller/partner agreements, NDAs, and vendor contracts.
· Manage privacy and security matters, including DPAs, security addenda, and responses to customer questionnaires or RFPs (SOC 2/ISO 27001 familiarity helpful).
· Maintain and optimize contract templates, clause libraries, and playbooks to accelerate deal cycle times while balancing risk.
· Advise on pricing, discount structures, liability and indemnity terms, and revenue recognition–related provisions to support complex transactions.
· Partner cross-functionally with Sales, Customer Success, Security, Product, Finance, and Operations teams on go-to-market initiatives and product launches.
· Improve legal operations through CLM/process tooling, reporting metrics, dashboards, and training programs.
· Manage outside counsel engagement for specialized legal support as needed.
Requirements
· 5+ years of experience in commercial or technology transactions, with both law firm and in-house experience strongly preferred.
· Proven track record negotiating SaaS and commercial agreements with enterprise clients and partners.
· Deep knowledge of privacy and data protection regulations (e.g., CPRA/CCPA, GDPR) and common security frameworks.
· JD and active membership in at least one U.S. state bar (California preferred or ability to register as in-house counsel).
· Pragmatic, business-focused judgment and the ability to communicate clearly with non-lawyers.
· Comfortable working in a fast-moving, collaborative environment with hybrid on-site expectations.
Nice to Haves: Experience with construction/trades, field service, regulated buyers, reseller ecosystems, or building a deal desk/contract automation.
