This position is an individual contributor with no direct reports or supervisory responsibilities.
May take direction from multiple members of the ProMedica Legal Services team.

POSITION SUMMARY
Assist ProMedica Legal Services department by performing specifically delegated and substantive
legal work and support services. Work is performed in accordance with oral and written
instructions and results are evaluated through observation and discussion.

ACCOUNTABILITIES
*All duties listed below are essential unless noted otherwise*
1. Draft contracts, leases, pleadings, case briefs, correspondence and other legal documents as
directed.
2. Assist ProMedica Legal Counsel and business unit personnel with respect to legal documents
and questions, governmental inspections and surveys by accrediting agencies, file searches in
any designated office or facility of the Company, and other areas requiring assistance from
ProMedica Legal Services.
3. Provide dedicated support to ProMedica Legal Counsel on special, time-sensitive, nonroutine projects/transactions.
4. Research and analyze law sources such as statutes, recorded judicial decisions, legal articles,
etc.
5. Develop, maintain and/or assist with development and maintenance of various logs and
databases, to track workflow and ensure proper retention of legal documents.
6. Assist with organization and maintenance of corporate governance documents.
7. Drafting, filing, and managing various business entity documents for Company’s entities with
State agencies.
8. Assists in acquisition and divestiture activity including due diligence reviews.
9. Summarizes and performs routine analysis of depositions, files, laws, medical records, and
other material.
10. Assists attorneys at depositions or witness interviews.
11. Collates documents, compiles information for attorney use, and prepares document and
exhibit list.
12. Makes Court filings.
13. Assists with organization and maintenance of legal files.
14. Assist in daily operations of office, including back-up phone coverage, mailing preparations,
and scanning into electronic filing system.
15. Assist with scheduling meetings, depositions, conferences, and conference calls as needed.
Perform other job-related duties as directed.



Requirements

Education: Associate degree in Paralegal studies, or relevant experience in field.
Skills: Competent in Microsoft Word, Excel, Outlook, and PowerPoint. Requires effective
communication and interpersonal skills, strong organizational skills, high degree of motivation, and
a willingness to work flexible hours. Must be able to think and act calmly and logically to meet
unusual occurrences of the job without being thrown off stride. Must be able to input and retrieve
information from a computer and type 55 wpm.
Experience: 2-4 years of paralegal experience (or similar experience)

PREFERRED QUALIFICATIONS
Education: Bachelor’s degree or post-baccalaureate certificate in Paralegal Studies or related field
Skills: Flexibility and versatility.
Years of Experience: 3-5 years of prior work experience as a paralegal or legal assistant
Certification: Paralegal certificate from an ABA accredited program.

WORKING CONDITIONS
Physical Demands: Must be able to move about organization and between workstations.
