Job Description

The Senior Counsel, Corporate and Commercial, will play a critical role in the Company’s legal department, primarily responsible for negotiating and managing vendor and commercial contracts. This role will also support the Company's third-party management program, insurance operations, and other matters. The Senior Counsel will actively engage with colleagues across the Company as not just a legal advisor but a critical business partner.

Key Duties and Responsibilities:

  • Contract Negotiation and Management.
    • Serve as the primary legal resource for review and negotiation of all vendor and commercial contracts, consistent with the Company’s contract review policies and procedures.
    • Draft, review, and finalize agreements ensuring compliance with Company policies and legal requirements.
    • Manage contract lifecycle, including cataloguing and tracking.
  • Third-Party Management Program.
    • Provide legal support for the Company’s third-party management program, primarily reviewing and negotiating management agreements with existing and potential clients.
    • Provide advice and guidance to the third-party team for ongoing relationships, including advising on contractual rights and obligations and negotiating amendments and terminations.
  • Insurance.
    • Support the Company’s Orange Door Insurance Program and ancillary insurance operations.
    • Coordinate insurance considerations as between the Company’s risk management and third-party management programs.
  • Other.
    • Assist with the Company’s trademark, intellectual property, and brand protection programs.
    • Provide legal support on strategic projects as assigned, which may include the development of new programs and services, acquisitions/M&A support, and more.
    • Spot and navigate legal issues while fostering strong internal relationships through a collaborative business-focused approach.
    • Manage outside counsel to achieve optimal efficiencies, outcomes, and value for the Company.
Qualifications
  • Juris Doctor (JD) degree from an accredited law school.
  • Must be an active member in good standing of the CA or TX bar or eligible for registered in-house counsel status in TX.
  • Minimum of [6] years of experience in corporate and commercial law.
  • Foundational law firm training. Prior in-house experience preferred.
  • Experience with REITs a plus but not required.

Skills:

  • Extensive experience in contract negotiation and management.
  • Familiarity with one or more of third-party management programs, privacy, trademarks/intellectual property, insurance, or marketing a plus.
  • Strong analytical and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Proficient in managing multiple tasks and deadlines.
  • Strong interpersonal and relationship building skills with the ability to influence and counsel across all levels of the organization.
  • Proficiency in legal research tools and MS Office Suite.
  • Demonstrated ability to handle sensitive and confidential information with the utmost discretion.
