Reporting to the Assistant General Counsel, Global Product and Enterprise Operations, the Sr. Counsel, Product/Ecosystem is responsible for leading the Omnicell Legal collaboration with Omnicell’s product, engineering, quality, and compliance teams in full product lifecycle participation and fostering thoughtful ecosystem partnership.  Responsibilities include (i) formalizing legal collaboration and process in go to market, full product lifecycle process; (ii) collaborating with the legal colleagues on cross functional strategy for go to market process; (iii) working closely as a trusted business partner with product, engineering, quality, compliance and other internal business partners; (iv)  leading  negotiations on ecosystem partner agreements (i.e., co-marketing, co-development, reseller, data feeds); and (v) working closely with the commercial legal team in creation of customer facing contracts based on product and ecosystem partner reviews.. This is a Austin, TX based role that will require periodic planned in office attendance based on product lifecycle needs. 

Responsibilities:

  • Establish trusted business partner relationships with our product, engineering, risk, compliance, and other teams to provide practical and actionable advice on full product lifecycle matters, from conception to adjustment to end of life.
  • Act as the lead legal advisor and provide strategic legal input to product, engineering, compliance, and quality teams on product compliance and data privacy issues globally.
  • Collaborate cross-functionally with product, engineering, marketing, quality, compliance, and business teams to ensure product alignment with legal frameworks
  • Formalize and maintain artifacts of legal collaboration with product, compliance, and quality, including contribution to policy documents and creation of templates.
  • Draft and lead negotiations with ecosystem partners on a variety of agreements, including but not limited to inbound product agreements (OEM, cloud based API usage, etc.), patent and technology license agreements, development and collaboration agreements, reseller agreements, and co-marketing agreements as well as advise on implementation strategies;
  • Work closely with legal contracting colleagues to adopt contract changes and create ancillary supporting artifacts (e.g., internal training and talking points)
  • Collaborate with training lead regarding training strategy for product, compliance, engineering and quality, along with other cross-functional training possibilities.
  • Stay abreast of the latest developments in applicable laws, regulations, and industry trends and lead the efforts to apply those to our products and operations. 

Required Knowledge & Skills:

  • Basic understanding of data privacy and security laws, rule, and regulations and ability to apply them to ecosystem partner agreements 
  • Ability to independently set and communicate prioritized goals and timelines to internal customers 
  • Excellent written and verbal communications skills with demonstrated ability to effectively address all levels of in-house or ecosystem partner representatives
  • Ability to read, analyze, and interpret laws, rules, regulations, legal documents, and financial and other reports, with experience in the principles, practices, and laws associated with product and ecosystem matters
  • Ability to anticipate, recognize, and define problems, both from a legal and overall corporate perspective, collect data, establish facts, and draw logical and valid conclusions based on sound legal and business judgments
  • Ability to meet demanding deadlines with an understanding of peak ebbs and flows of position requirements
  • Attention to detail and well organized
  • Proficiency with Microsoft Office Suite

Basic Qualifications:

  • J.D.; member in good standing of a state Bar
  • 5+ years of experience with SaaS and professional services contracting
  • 7+ years of experience drafting, reviewing, and negotiating complex technology transactions from both customer and supplier point of view
  • Substantial experience working with product management and/or engineering teams

Preferred Qualifications:

  • Healthcare industry experience
  • Firm understanding of revenue recognition principles
  • Project Management experience
  • Product development and life cycle management 

Work Conditions:

  • Talent Center office adjacent in order to participate in periodic, planned in office meetings
  • Flexibility in working hours as needed
  • Some travel, ~10%
