This is a great opportunity to join Syracuse University’s sophisticated in-house legal team. The Associate General Counsel ( AGC ) provides legal advice to the University on a full range of transactional legal matters and projects, focusing on the University’s research and technology transfer enterprise. The Office of University Counsel ( OUC ) provides legal advice to University departments and organizational units with an awareness of the nuances of client business priorities and practices and is committed to agile service delivery aligned with the University’s mission, priorities, and needs. The AGC will support the University’s strategic goals, in particular with respect to research, technology and privacy-related matters, and will serve as primary counsel on matters related to the University’s sponsored research enterprise, including research contracts and grants with domestic and international government agencies, foundations, joint ventures, research centers, consortia, corporations, and academic institutions; technology transfer operations; research safety and security; regulatory compliance; intellectual property; procurement; public ethics; and other matters for academic and operational units. The AGC must have a solid working knowledge of legal, academic and operational issues relevant to a large, research-intensive university, and must develop new subject matter expertise as client needs dictate.

Responsibilities
Review, draft, negotiate contracts such as sponsored clinical trial agreements, collaborative research agreements, material transfer agreements, term sheets, option agreements, technology licenses, confidentiality agreements, data transfer/use agreements, grant agreements, informed consent forms, software licenses, and other agreements and documentation related to research. Work closely with and support the Office of Sponsored Programs and Office of Technology Transfer on legal matters and strategic initiatives. Advise University schools, colleges and administrative units with respect to maintaining compliance with University policies, state and federal law and government regulations pertaining to research contracts and operations. Collaborate with outside patent prosecution counsel, technology commercialization consultants and other subject matter experts. Provide training for University personnel and recommend policies and procedures to the University on emerging issues in research, privacy, contracts, and intellectual property law.
