Job Description

At Qu you will be involved with:

Technology & Commercial Contracts

  • Draft, review, and negotiate complex SaaS agreements, including $1M+ enterprise contracts, master service agreements (MSAs), statements of work (SOWs), and service level agreements (SLAs) with restaurant brands and franchisees.
  • Structure and close high-value deals with a keen understanding of risk allocation, IP rights, indemnities, and limitations of liability.
  • Address issues related to data privacy, licensing, usage rights, and SLAs in a cloud-based product environment.
  • Develop and maintain scalable legal frameworks aligned with product offerings and customer growth.

Vendor & Partner Agreements

  • Review and negotiate agreements with critical partners such as payment processors, POS hardware providers, and SaaS infrastructure vendors.
  • Ensure obligations and risks across partner agreements are appropriately aligned with multi-party enterprise commitments and expectations.
  • Leverage strong negotiation skills to optimize terms that protect Qu’s interests and reduce legal exposure.

Corporate Governance & Strategic Transactions

  • Provide counsel on equity-related matters, including cap table management, stock option plans, and investor relations.
  • Support the executive team on corporate development activities, including M&A due diligence, deal structuring, and post-transaction integration.
  • Maintain corporate records and ensure compliance with state and federal regulatory filings.

External Counsel Oversight

  • Manage and coordinate with outside counsel on specialized matters such as IP protection, litigation, franchise filings, equity funding, and international law.
  • Serve as a strategic liaison to ensure quality and cost-effective legal support in complex or high-stakes matters.


What we're looking for:

  • Juris Doctor (JD) from an accredited law school and licensed to practice in at least one U.S. state.
  • 8–15 years of legal experience, including significant in-house or firm experience advising technology companies.
  • Proven expertise in SaaS agreements, high-value commercial contracts ($1M+), and employment law.
  • Demonstrated experience with M&A transactions, equity-related advisory, and negotiating complex deal terms.
  • Strong understanding of legal issues facing modern restaurant brands and multi-unit operators.
  • Excellent drafting, negotiation, and interpersonal skills.
  • Experience supporting rapidly growing, cross-functional teams in a fast-paced environment.

Compensation

  • Competitive hourly or retainer-based compensation, aligned with experience and availability.
  • Scope and cadence of work to be defined based on mutual agreement.
