Job Summary
The Paralegal – Contracts supports Walgreens’ Commercial Transactions Legal Team by preparing, reviewing, and managing a wide range of commercial agreements that enable our merchandising and procurement operations. This role works closely with attorneys and business partners to draft agreements using established templates, coordinate contract workflows, manage revisions, and ensure timely execution. The ideal candidate is detail‑oriented, highly organized, and comfortable working in a fast‑paced environment with multiple stakeholders.
- Responsible for organizing and managing all aspects of legal matters to ensure efficient and effective matter handling
- Researches legal issues and relevant topics that range in complexity and relate to Walgreens business operations
- Drafts legal documents under managing paralegal or attorney supervision
- Organizes and maintains department databases and files on a variety of legal subjects
- Works directly with managing paralegal or attorney to analyze legal issues, identify applicable laws and gather pertinent facts, and resolve legal questions
- If applicable, assists with litigation support, responding to discovery requests, document collection, responding to subpoenas, and/or contract support and management.

- Associate’s degree or higher with a paralegal certificate OR a High School Diploma/GED and at least 3 years of legal experience (assisting legal document preparation, routine legal research, and data compilation in litigation, real estate, contracting)
- Experience drafting legal documents
- Experience researching complex legal issues
- Experience using legal research tools, such as LexisNexis or Westlaw
- Basic level skill in Microsoft Excel (for example: opening a workbook, inserting a row, selecting font style and size, formatting cells as currency, using copy, paste and save functions, aligning text, selecting cells, renaming a worksheet, inserting a column, selecting a chart style, inserting a worksheet, setting margins, selecting page orientation, using spell check and/or printing worksheets)
- Basic level skill in Microsoft Word (for example: opening a document, cutting, pasting and aligning text, selecting font type and size, changing margins and column width, sorting, inserting bullets, pictures and dates, using find and replace, undo, spell check, track changes, review pane and/or print functions)
- Basic skill level in Microsoft PowerPoint (for example: inserting, rearranging, hiding and deleting slides, navigating between slides, increasing list level, adding, centering and editing text, changing views, inserting a table or a note, moving objects, printing outline view and/or running a slide show)
- Willing to travel up to 5% of the time for business purposes (within state and out of state)
- Bachelor’s degree and 3+ years as a transactional-contracts paralegal in a corporate legal department or law firm supporting commercial contract creation and review and supporting business teams (e.g., drafting from templates and reviewing terms).
- ABA-approved paralegal certificate.
- Experience supporting commercial transactions, procurement, or merchandising contracts.
- Familiarity with contract lifecycle management systems.
- Self-directed with strong ownership to complete projects independently, including continuous improvement initiatives (process, training, and change implementation).
- Strong attention to detail and excellent organizational skills.
- Detail orientated with ability to manage multiple matters simultaneously and prioritize effectively.
- Strong written communication skills, including the ability to draft and revise contract language.
- Comfortable working with templates, clause libraries, and structured workflows.
- Ability to collaborate with attorneys and business partners in a fast‑paced, matrixed environment.
- Proficiency with Microsoft Office.
- A proactive, resourceful mindset with a willingness to learn and grow.
Responsibilities:
- Prepare first‑draft agreements using approved templates, including vendor agreements, supply agreements, procurement agreements, services agreements, merchandising agreements, funding agreements, and NDAs.
- Customize template agreements with business‑specific terms under attorney guidance.
- Assist in preparing redlines, formatting revisions, and incorporating attorney and business feedback into updated drafts.
- Ensure contract language aligns with approved templates, playbooks, and fallback positions.
- Manage the end‑to‑end contract workflow, including intake, drafting, review, revision, approval routing, and signature coordination.
- Maintain accurate records of contract status, deadlines, and required approvals.
- Coordinate with internal stakeholders to gather necessary business information, confirm terms, and resolve open issues.
- Facilitate execution of agreements and ensure proper storage in contract management systems.
- Work closely with merchandising teams to prepare agreements for retail merchandise, vendor funding, promotional programs, and product placement.
- Support Procurement and other business teams by preparing store care, experiential learning, logistics, warehousing, transportation, and other service agreements.
- Serve as a point of contact for business partners on contract process questions, template usage, and documentation requirements.
- Assist attorneys with research, contract summaries, and preparation of negotiation materials.
- Help maintain and update contract templates, clause libraries, and playbooks.
- Identify opportunities to streamline workflows and enhance efficiency across the contracting process.
- Prepare reports, trackers, and dashboards summarizing contract activity and key metrics.
