Job Description

WHO WE ARE

Our client’s Commercial Transactions and Client Services team plays an important part in managing the agency’s processes for client onboarding, immigration proceedings, and commissions, as well as commercial transactions. The Attorney - Commercial Transactions & Client Services supports all aspects of the Company's client relations matters, negotiates various commercial and vendor agreements, negotiates both standard and complex client representation agreements, manages and oversees commission collection efforts and supports general departmental matters. The Attorney will strategically provide efficient and high-quality service to internal and external stakeholders; implement commercial transaction and client service policies in a rapidly-growing and fast paced Company; and support the business needs of the Company, its clients and its employees.

THE ROLE

The Contract Attorney- Commercial Transactions & Client Services will report to the Head of Commercial Transactions & Client Services and/or other senior members within the Office of the Chief Legal Officer. The Executive will directly manage the Company’s Coordinator, Commercial Transactions & Client Services, manage the Company’s client representation matters, support client immigration matters as needed, supervise outside lawyers in achieving the company’s goals in the most efficient and effective manner, manage client service policies, manage and oversee commission collection efforts, participate in the drafting and preparation of legal correspondence, review, negotiate and draft commercial and vendor agreements, licenses and releases, and demand, breach and cease and desist letters, support various compliance efforts, and support the legal aspects of client relations generally in other areas, on an as-needed basis, such as client onboarding and commissions.

RESPONSIBILITIES

  • Oversee and manage the Company’s Coordinator, Commercial Transactions & Client Services;
  • Oversee and manage the negotiation, drafting and execution of independent contractor agreements, vendor agreements, releases, licenses and other commercial contracts;
  • Serve as lead internal counsel managing a wide range of commercial transaction and client service matters;
  • Manage the negotiation, drafting and execution of agency service agreements and complex client representation agreements;
  • Provide timely and time-sensitive legal counsel, information, advice and guidance on commercial transactions and client services matters;
  • Identify and analyze complex legal/business issues and provide appropriate legal advice regarding applicable legal standards;
  • Assist with client immigration matters as necessary;
  • Manage and support commission collection efforts, including negotiating settlements of commission disputes;
  • Work closely with outside counsel to manage commission collection disputes;
  • Manage the drafting and correspondence for breach, demand and cease and desist letters;
  • Demonstrate extensive negotiation skills with respect to legal issues;
  • Demonstrate learning agility and adaptability; be able to improve and evolve approach, systems or strategies where necessary;
  • Manage stakeholder expectations by discussing deadlines, costs, timing and risks;
  • Engage in effective written and verbal communications:
    • Correspond with clients, employees and outside counsel on a daily basis via email;
    • Take clear and accurate notes documenting telephone calls/meetings;
    • Write accurate memoranda documenting the results of research or addressing trends in laws and compliance;
    • Participate in meetings and conference calls, as needed;
  • Create and maintain electronic files;
  • Conduct compliance related audits or projects from time to time, as needed;
  • Stay attuned to industry trends and advise the company on best practices;
  • Other duties as assigned.

QUALIFICATIONS

  • Minimum Degree Required: Juris Doctorate from an accredited law school
  • Minimum Years of Experience: 7+ years of entertainment industry-related legal experience (law firm or in-house acceptable)
  • Certification or Licensing Required: Licensed member in good standing of the California State Bar
  • Firm grasp of standard entertainment industry practices and talent agency commission issues preferred
  • Managerial experience preferred

  • Proficient in standard Microsoft applications (i.e., Excel, PowerPoint, and Word).

LOCATION

Remote or Hybrid (Office is located in Century City, CA)

COMPENSATION

$166 - $183/hr for 30 hours/week
