The Corporate Paralegal will provide a broad range of paralegal support for YETI’s legal department and its growing domestic and international subsidiaries. This Corporate Paralegal will manage important and complex matters, collaborate effectively across teams, and have the technical skills and professional maturity to anticipate and initiate legal tasks independently and under the direction and oversight of legal professionals. This role is based in Austin, TX, reporting to the Senior Legal Operations Manager and offers an exciting opportunity to work in a dynamic, fast-paced environment at a growing company with a focus on operational excellence and legal compliance.
Responsibilities
Oversee the lifecycle of global subsidiaries, including formation, dissolution, mergers, and name changes
Collaborate with external counsel and registered agents to manage filings, certifications, and other legal requirements for subsidiaries
Maintain a centralized database of subsidiary information and summaries, ensuring accuracy and accessibility
Maintain and update corporate records, including articles of incorporation, bylaws, minutes, and other key documents for domestic and international subsidiaries
Ensure compliance with all applicable laws, regulations, and internal governance standards related to subsidiary operations
Support the preparation and filing of annual reports, resolutions, and other regulatory filings for subsidiaries.
Process notarizations, apostilles and legalizations of domestic and international corporate documents
Work closely with the finance, tax, compliance and commercial teams to support intercompany transactions, audits, and “Know Your Client” projects
Support diligence activities related to mergers, acquisitions, and other corporate transactions
Develop and implement best practices for subsidiary governance and management processes
Proactively identify opportunities to improve corporate recordkeeping and process improvements
Provide general paralegal support to the full in-house legal department
Qualifications
Bachelor’s degree in a related field
Minimum of 5 years of related experience, either in a law firm or multinational company
Proficiency in global legal entity management and corporate governance
Experience managing multiple cross-functional high priority projects simultaneously
Excellent written and verbal communication skills with exceptional interpersonal skills and attention to detail
Familiarity with entity management software and tools
