We are currently seeking a dynamic, customer-oriented individual to join our global legal department as a Sr. Corporate Counsel for corporate and employment matters. You will be part of a collaborative legal team that impacts and supports all areas of Barracuda.  Your role will focus on corporate matters, including board governance, insurance, management of corporate entities and will also work to support the HR and Equity teams. The split of corporate and employment law matters this role encompasses will vary from day to day, but is about even. This position will report to the Chief Legal Officer and will work closely with Finance, HR, and Equity teams.

What you’ll be working on
  • Evaluate legal risks and provide subject matter knowledge on a broad range of global employment law issues, including wage and hour, payroll, benefits, hiring, performance management, internal investigations, leaves of absence, discipline, terminations, employee classification, and employee privacy.
  • Collaborate with HR, payroll, operations, and compliance on employment-related compliance matters, including advising on wage and hour compliance matters, identifying additional areas of employment-related compliance opportunities, advising on preventative and corrective action plans, and supporting training initiatives.
  • Monitor federal, state, and local legislation, regulations, and case law on employment-related matters pertinent to the company; communicate updates and recommendations as needed
  • Provide counsel and support on agency charges, government audits, demand letters and litigation matters; coordinate with outside counsel on same.
  • Work with outside counsel on managing exemptions and regulatory filings relating to the company’s equity plan.
  • Working with HR on regular training programs and stakeholder engagements.
  • Board of Directors and committee meetings administration – drafting agendas, resolutions, presentation materials, written consents, and minutes.
  • Work to formulate and manage a Disclosure Committee to prepare for Audit Committee meetings.
  • Liaise with senior management on agenda/presentation content, forms (strong proficiency in PowerPoint, Word, Excel, MS Office required).
  • Help to manage Board deadlines, presentation dry runs, etc.
  • Gather materials for auditor inquiries and other recordkeeping diligence involving board minutes/materials.
  • Assist with preparation of insurance renewals on an annual basis.
  • Assist with responding to corporate inquiries from shareholders (KKR) and board members.
  • Support HR and Equity Administration for Compensation Committee presentations and approvals.
  • Coordinate/manage international outside counsel, outside agents (CSC and Maples) and Company Finance executives regarding corporate annual filings.
  • Maintain company organizational chart.
  • Draft corporate policies and procedures, and assist with employee communication and training, as needed.
  • Assist with special projects, as needed 
    What you bring to the role 
    • JD from an accredited law school with excellent academic credentials required.
    • Must be an active member in good standing of a state bar (California a plus).
    • 6-10 years of relevant legal experience and demonstrated success with a mix of corporate law firm and/or in-house experience. 
    • Broad knowledge of corporate secretary practices; ability to resolve issues and make recommendations as they arise.
    • Excellent written and verbal communication skills; ability to deliver information in a clear, concise manner.
    • Strong management skills and the ability to motivate and work with others to achieve desired results.
    • Strong interpersonal skills; high degree of emotional intelligence. 
    • Experience dealing with highly confidential information with professionalism and absolute discretion.
    • A flexible and proactive approach to problem solving.

      The anticipated salary range for this role is $170,000 - $227,000. Actual compensation offered will be dependent upon the individual's skills, experience, and qualifications as they directly relate to the requirements of the position, the budget for the position, and applicable employment laws.
