Position Title: Senior Corporate Paralegal

The Opportunity:
- Maintain corporate minute books, draft minutes and consents, update annual actions, manage share ledgers, and prepare share certificates.
- Coordinate document imaging, manage corporate databases, file formation documents and amendments, order lien searches, and summarize results.
- Assist attorneys in M&A transactions, manage due diligence lists, organize closing binders, conduct research via Lexis/Westlaw, and docket corporate deadlines.
- Proofread and review documents, prepare PowerPoint presentations, organizational charts, timelines, and handle additional assigned tasks.
Background Profile:
- Strong attention to detail, organization, and communication skills; preferred (but not required) knowledge of corporate law, particularly Ohio Corporate Law; ability to interact professionally with clients and attorneys.
- Commitment to excellence, ability to thrive in a fast-paced environment, multitask effectively, and meet deadlines under pressure.
- Experience with Microsoft Suite, Adobe, and document management systems; ability to type 70+ WPM accurately.
- Willingness to work overtime and occasional weekends; ability to lift at least 10 lbs and sit for extended periods.
- A minimum of five years of experience in a paralegal position.
- A degree at the associate's or bachelor's level is preferred.
Corporate paralegal –
Corporate dept – 4 partners & 5 associates – they rely heavily on the paralegals. Help to guide, coordinate meetings. The more experienced the better – They really need to know corporate
Corporate attys – more serious – Nose down and go home.
More of a 9 – 5 with the exception of deal closings – end of the month
Pragmatic & direct people – Straight shooters
The main atty – Michael – Former managing partner in the firm – Numbers guide
Top biller – 2000 to 2100 hours per year. Paralegals bill 1500 hrs. year. If the #’s are down looking for patterns 1300 to 1400 hrs. no one is in trouble
This position is bonus eligible – Rated individually. Based on profitability and performance. Start with a number – new staff members ($500 to $1500) Could be $7500.0
Subsequent years $4K - $12K
Even last year when they moved & Paid for the move. 200K bonuses to staff
$100 every year on anniversary
Will look at in house candidates
Can pull from other firms.
Imanage – experience is important or any document management system.
