Description

Job Summary 

Corporate Paralegal is responsible for supporting the legal and transactions team and providing a range of legal support and administration in connection with the acquisition, development, and finance of solar energy projects throughout the US. This is a transactions-oriented position. 

 

Essential Duties and Responsibilities: 

  • Provide transactional coordination and support on a wide variety of matters including managing and conducting project due diligence 

  • Provide support for the negotiating and execution of MIPAs/APAs, site control agreements, term sheets/LOIs, NDAs 

  • Prepare initial drafts 

  • Interfacing with outside counsel 

  • Manage corporate formations, governance and maintenance, including operating agreements, resolutions and corporate certificates 

  • Document management 

  • Coordinate closing process for various acquisition and project finance transactions 

  • Prepare different correspondences 

  • Check and edit legal forms, documents, and contracts for accuracy. 

  • Perform administrative duties in support of the legal and transactions function-groups 

 

Knowledge, Skills, and Abilities 

  • Bachelor’s degree, Associate's degree, or certificate program in paralegal studies. 

  • Experience working as a corporate paralegal or project manager at a law firm or company (in-house) 

  • Excellent written and verbal communication skills 

  • Superior organization skills 

  • Ability to work independently, plan, and take initiative to accomplish tasks in a timely manner with minimum supervision 

  • Document management skills are a plus 

  • Renewable Energy/Solar acquisition and/or financing experience is a definite plus, but not required 

  • Unrestricted authorization to work in the U.S. 

 

Work Environment 

This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets, and fax machines. Interfaces with customers, vendors, and the public. All employees, including Senior and Executive Management, Sales & Finance.
