Holmes Murphy is seeking an Associate Corporate Counsel to join our legal team. This position is integral to our operations, responsible for assisting in the creation, review, and approval of various contracts, including fee agreements, co-broker agreements, confidentiality and non-disclosure agreements, business associate agreements, client scope of services agreements, carrier contracts, data use agreements, and independent consultant agreements, all with appropriate oversight. Additionally, the role involves preparing corporate resolutions, board minutes, and maintaining corporate records.

Essential Responsibilities:

  • Avoid legal challenges by understanding and complying with current and proposed legislation.
  • Communicate with legal and regulatory departments to stay updated on new rulings affecting insurance agencies.
  • Review, maintain, and manage all company agreements.
  • Develop and refine corporate policies, procedures, and programs.
  • Exercise judgment in selecting methods and techniques for achieving desired results.
  • Evaluate tools and decisions related to contract review processes and recommend improvements.
  • Maintain contract files, including original correspondence, amendments, and payment schedules.
  • Draft, structure, oversee, and review legal reports and documents.
  • Monitor changes in state and federal privacy laws and ensure compliance.
  • Maintain corporate records and internal privacy compliance documents.

Qualifications:

  • Education: JD from an ABA accredited institution and passage of the Bar Exam
  • Experience: 1-3 years’ experience in a Law Firm or Insurance environment. 1-3 years’ experience in Contract Reviewing.
  • Skills: Prioritizing and managing multiple demands in a fast-paced environment. Demonstrates effective independent work capabilities and maintains a high level of confidentiality. Possesses strong knowledge of processes and computer skills, including proficiency in Word, Excel, and PowerPoint. Capable of learning and monitoring state and federal privacy laws, and complying with HMA's Client Privacy Policy, HIPAA regulations, and E&O procedures. Committed to continuous education and professional development, willing to pursue relevant designations. Available for daily work and extended hours as necessary.
