Wärtsilä Energy Business is looking for a Legal Counsel to join its Engine Power Plants Legal and Compliance team in Houston, Texas, U.S.

 

As a Legal Counsel in the Engine Power Plants legal team you will handle various types of legal and compliance matters in relation to the Engine Power Plants business, primarily in the Americas area. This role is focused on drafting and negotiating equipment supply and EPC contracts with our customers and their advisors, as well as resolving legal issues that may arise in project execution and advising business on any other operative legal and compliance matters. In this position, you will be part of a global legal team and report to the Head of Legal, Engine Power Plants in Wärtsilä Energy Business. The preferred location is Houston, Texas.

 

What are your main responsibilities? 

 

  • Provide commercially oriented and solution based legal and compliance support to the business in a variety of business matters.

  • Review, negotiate, draft and advise on various types of transactions and commercial contracts, such as:

    • High-value equipment supply contracts and engineering, procurement and construction contracts.

    • Subcontracts and procurement contracts

    • Consortium agreements and other teaming agreements

  • Provide legal support to project execution teams.

  • Provide legal support to project development and project investment activities.

  • Manage claims and disputes. 

  • Upon need liaise with external counsel on disputes and local law advice.

  • Provide compliance and governance advice to the business.

  • Provide training to the business on relevant legal and compliance issues.

  • Actively participate in the development and implementation of policies, work processes and contract templates & coach business colleagues with the foregoing.


What do we expect from you?

  • A J.D. degree from an accredited law school in the United States.

  • A minimum of 5 years work experience in either an in-house or a private practice role. Relevant experience includes corporate and commercial transactions in an international setting, including from energy or construction sector.

  • Excellent command of English and Spanish (bilingual), both written and oral. Portuguese language capability is a plus.

  • Excellent negotiation and influencing skills coupled with commercial acumen and strategic thinking

  • Solid drafting, presentation and communication skills. You have the skill to translate complicated legal matters to business stakeholders in an understandable way.

  • Capable of managing a variety of stakeholder networks and navigating through different priorities

  • Business and customer mindset with ability to see the big picture and where one can best add value for the business

  • Can-do attitude combined with an innovative mindset and willingness to challenge the status quo

  • Team oriented with a positive attitude 

  • Ability to work in a multi-cultural organisation and virtual teams

  • Readiness to travel.
