Mayer Brown LLP is accepting applications for its Fund Finance Paralegal Fellowship in Charlotte. The two-year program provides an opportunity for recent graduates interested in pursuing a law degree or a related field to gain hands-on experience as finance paralegals and develop key skills while contributing to the Firm’s pro bono initiatives and legal innovation efforts.
Essential Functions:
- Assists in drafting and closing of transactions.
- Collaborates with the Firm’s legal innovation team to pilot new technologies that drive efficiency and position Mayer Brown on the forefront of legal technology and innovation (including evaluating and implementing tools related to contract drafting/review, transaction visualization, and deal management)
- Coordinates pro bono projects in partnership with the Firm’s pro bono practice
- Participates in an intensive training program led by Mayer Brown Partners and associates to compliment hands-on work experience
- Manages the transaction process from intake to closing, including maintenance of existing transactions
- Prepares various documents/instruments: term sheets, credit agreements, collateral documents, UCC forms/attachments, closing checklists, etc.
- Conducts investor due diligence
- Reviews various documents/instruments: corporate resolutions, officer’s certificates, legal opinions, etc. prepared by opposing counsel
- Coordinates market and precedent transaction research
- Maintains control of closing documents
- Distributes closing documents and closing indexes
- Orders/reviews/charts lien searches, order business entity documents from public offices (certified charter, good standing, etc.)
- Files UCC and corporate/partnership organizational and other documents with state offices
- Participates in and assists in the management due diligence projects
- Liaise with attorneys, as needed, for additional information needed in order to complete the above
- Performs other duties as assigned or required to meet Firm goals and objectives
Education/Training/Certifications:
- Bachelor’s degree required

- Proficiency in Microsoft Office products, required

The salary for this Fellowship position is set at $70,000.
