Overview of Meals on Wheels America
Position Summary
Supporting the Chief Legal & Compliance Officer and the Associate General Counsel, this position is responsible for providing administrative support for the day-to-day General Counsel’s office functions of Meals on Wheels America.
Responsibilities include administering contracts and legal compliance, coordinating legal document record-keeping and record systems, assisting with drafting and reviewing documents, coordinating compliance matters including healthcare, information security, and state non-profit registrations, monitoring trademark compliance and oversight, supporting assigned Board duties, and overseeing the work of outside counsel and consultants.
The position reports to the Chief Legal & Compliance Officer and is an Arlington, VA based, flexible hybrid working role. There is no weekly in-office requirement; however, the ability to visit the office as needed is required.
Duties and Responsibilities
- Developing and maintaining systems, including contract lifecycle management systems, for all contracts and organizational legal and governance records in coordination with other technology systems.
- Preparing drafts of standardized contracts and agreements required to advance the work of the Association in a timely manner.
- Assisting with review/editing of draft contracts and agreements provided by prospective partner organizations in a timely manner.
- Coordinating the completion and submission of annual state nonprofit organization reports with outside counsel, and the reporting of certain fundraising agreements (e.g., commercial co-ventures and fundraising counsel).
- Monitoring and reporting on federal and state compliance requirements, including healthcare and data-privacy laws and regulations.
- Responding to legal or regulatory notices, assisting with providing comments to proposed regulations and making necessary filings.
- Coordinating with internal clients and communicating timelines and status on departmental projects.
- Managing projects and activities associated with the legal and compliance elements of the Association’s healthcare-related projects, including compliance training for member programs and compliance action planning.
- Coordinating completion and submission of records for annual audits, including the third-party information security audit (SOC2).
- Performing legal and other types of research.
- Monitoring the work of outside counsel.
- Processing payments as well as tracking the budget for the Legal & Compliance Department.
- Monitoring trademark compliance and overseeing the trademark portfolio in conjunction with outside counsel.
- Drafting and sending memoranda and correspondence.
- Coordinating and participating in meetings with legal entities, corporate fundraising partners and healthcare organizations relevant to the strategic agenda for Meals on Wheels.
- Representing Chief Legal & Compliance Officer and/or Associate General Counsel at assigned meetings and events, which may include training for legal compliance, Congressional and administrative hearings, and presentations relevant to legal, healthcare, regulatory, compliance and other matters.
Qualifications or Skills Required
- Hold a bachelor’s or an associate degree and have 3+ years of relevant experience in a paralegal, compliance, communications, or related fields, preferably with a non-profit entity (advanced degrees or a paralegal certificate preferred).
- Have proficiency in Microsoft Office Suite and contract lifecycle management systems (Ironclad preferred), with proven organization skills in their use to maintain an efficient document filing and retrieval system, in addition to communication platforms (Zoom and Teams).
