Job Description

Associate General Counsel

TIAA seeks an experienced insurance law attorney to join our Law Department as a lawyer supporting insurance product development and management for our institutional retirement business. This role will be based in New York, NY, Charlotte, NC or Frisco, TX and will report to a Managing Director & Associate General Counsel.

This attorney will join a team responsible for providing legal advice in connection with the design and implementation of fixed and variable annuities, stable value products, funding agreements, investment advisory programs, and other products and services for defined contribution retirement plans.

This attorney will work on product development, insurance contracts and other filings with state insurance departments; support a broad range of insurance law matters relating to the sound and prudent business operations of an insurer, including market conduct, licensing, advertising, insurance & annuity products, treatment of policyholders and claimants, filing requirements, compensation, and compliance with relevant regulations; provide legal support for marketing and sales; and track new laws and regulations, and other regulatory developments.



Key Responsibilities and Duties

  • Acting as a primary point of contact for insurance law advice for the TIAA Product & Business Development team, including drafting and filing of insurance contracts and other documents with insurance regulators.

  • Provide legal advice and support for a variety of issues related to the two insurance companies and the insurance agency, including operations, distribution, marketing & sales.

  • Preparing Board and internal governance materials.

  • Working with external and internal sources to advise on all aspects of insurance product design and the launch of new products and services.

  • Keeping apprised of legal developments affecting client businesses.

  • Working on or leading projects or cross-functional teams.

  • Knowledge and experience with insurance rules and filing requirements impacting annuity and life insurance products, including annuity contracts that fund retirement plans.

  • Ability to research insurance laws and regulations, circular letters, OGC opinions and relevant case law, and ability to interpret and apply same.

  • Dealing with insurance operational requirements.

  • Interacting with Insurance Department regulators.

Educational Requirements

  • Doctoral Degree Law Required

Work Experience

  • 5+ Years Required; 7+ Years Preferred

Required Experience:

  • 5+ years of experience practicing law in a major law firm, a regulator, or in-house legal department with a focus on insurance products to include in depth knowledge of insurance regulations impacting annuity and insurance contracts that fund retirement plans and with insurance rules and filing requirements required.
  • JD degree from an ABA accredited law school and member in good standing of state bar is required

Preferred Experience:

  • 7+ years of experience practicing law in a major law firm, a regulator, or in-house legal department with a focus on insurance products to include in depth knowledge of insurance regulations impacting annuity and insurance contracts that fund retirement plans and with insurance rules and filing requirements preferred.
  • Familiarity with Internal Revenue Code, ERISA and related regulations impacting retirement plans is preferred.
  • Experience with variable annuities, funding agreements and other retirement products and services, such as custom portfolios, collective investment trusts, investment advisory services, and recordkeeping arrangements is preferred but not mandatory.
  • Familiarity with reinsurance.

Anticipated Posting End Date:

2024-11-30Base Pay Range: $157,500/yr. - $272,300/yr.

Actual base salary may vary based upon, but not limited to, relevant experience, time in role, base salary of internal peers, prior performance, business sector, and geographic location.  In addition to base salary, the competitive compensation package may include, depending on the role, participation in an incentive program linked to performance (for example, annual discretionary incentive programs, non-annual sales incentive plans, or other non-annual incentive plans).
