About the Role:

As the Deputy General Counsel, Corporate & Securities, you will work cross-functionally with teams across Grocery Outlet to support our public company obligations and corporate governance functions. You are a highly skilled and detail-oriented attorney who is looking for their next challenge. You will be responsible for ensuring compliance with federal securities laws, advising on corporate governance best practices, supporting board and committee matters, and providing general legal support in other areas.  The Deputy General Counsel, Corporate & Securities will report to the EVP & General Counsel.
 

Responsibilities Include:

Securities Law Compliance

  • Assist in the drafting and review of periodic filings with the SEC, including Forms 10-K, 10-Q, 8-K, Proxy Statements, and Section 16 filings (Forms 3, 4, 5)
  • Ensure compliance with the Securities Exchange Act of 1934 and applicable NASDAQ listing regulations
  • Assist in the preparation and review of earnings releases, investor presentations, and related disclosures
  • Advise on Regulation FD and public disclosure matters
  • Support Insider Trading Policy administration and blackout period monitoring

Corporate Governance

  • Support board and committee meetings, including preparing materials, resolutions, and meeting minutes
  • Support maintenance of corporate records and governance documents, including bylaws, committee charters, and corporate policies
  • Manage legal aspects of annual stockholder meetings and proxy statement development
    Provide guidance and training to the board and management on governance matters and emerging best practices
  • Support the company’s ESG programs and related compliance efforts and disclosure requirements

General Corporate

  • Provide legal support on executive compensation matters, equity plans, and equity administration
  • Assist with corporate transactions, including financings and M&A
  • Collaborate with internal stakeholders in Finance, IR and HR to ensure alignment and information flow

Other

  • Negotiate and review contracts with varying complexity, including master and professional services agreements, software license agreements, advertising and marketing agreements
  • Support the management of outside counsel on various matters, as needed
  • Other responsibilities as assigned

About The Pay:

  • Base Salary Range: $200,000 - $225,000 Annually

About You:

  • Juris Doctor and membership in good standing with the California State Bar
  • 5+ years of securities, governance, and transactional law experience
  • Prior experience at a top-tier law firm or in-house legal department at a public company
  • Ability to work in a fast-paced start up like environment
  • Depth of legal knowledge relating to U.S. securities laws, NASDAQ rules and governance standards
  • Familiarity with Nasdaq Boardvantage, Workiva or other board and disclosure management platforms preferred
  • High integrity and discretion in handling confidential information
  • Proactive, solution-oriented approach
  • Excellent business judgment and strategic thinking
  • Ability to work independently and collaboratively in a collegial, fast-paced team environment
  • Comfort in advising and interacting with board members and senior executives
  • Ability to work closely with, facilitate interactions within, and influence large cross-functional teams (including representatives from law, tax, accounting, regulatory, compliance, operations, human resources, real estate and communications)
  • Ability to manage external counsel efficiently
  • Agility in managing multiple projects in an efficient and timely manner
  • Outstanding verbal and written communication skills, and attention to detail
  • Superior drafting and negotiation skills

Salary
  • $200,000 - $225,000/year
