
Corporate Counsel
Our clients rapidly growing outpatient mental health practice is dedicated to expanding access to high-quality care through operational excellence. As they scale, the focus is on developing a regional operating model that ensures efficiency, consistency, and sustainability across future locations.
This start-up is revolutionizing mental health support for younger students and their families. They require a talented Corporate Counsel to join their growing team. You will lead all legal operations. To support their mission, this position will advise on a wide range of legal subject areas, including healthcare regulatory guidance, corporate governance and compliance, privacy requirements, litigation and risk management, intellectual property, employment and real estate. Additionally, you will work cross-functionally with finance, operations and compliance to spearhead contractual compliance with local, state, and federal contracts. This role involves both strategic leadership as well as work in the trenches to get things done.

Responsibilities:
• Draft, review, approve and provide oversight of all company agreements, including key agreements relating to sales agreement, suppliers and vendors, payers, distributors, software and technology licensing, employment and consulting
• Manage and advice on corporate governance, law compliance, general transaction support, license agreements, employment law, regulatory matters, risk management, financing activities, and general contract management
• Provide in-depth legal advice with complex laws and regulations including, but not limited to Stark Law, the anti kickback Statute (and various state-law equivalents), EMTALA, Medicare, Medicaid State Operations Manual, HIPAA/HiTech, PPACA, ERISA, HIPAA, and other federal and state statutes, rules, and regulations that govern healthcare providers
• Coordinate with and manage outside counsel relationships across various practice areas
• Review and draft various commercial agreements, including vendor contracts, NDAs, and service agreements.
• Partner with Human Resources as it pertains to compliance and employee relations.
• Assist with regulatory filings and maintenance of corporate records
• Provide guidance on privacy and data protection matters
• Support development and implementation of compliance programs
• Assist with contract management and oversee governmental contract compliance
• Provide practical legal advice to internal business partners on day-to-day matters
• Act as the Privacy Officer, build the company’s privacy compliance, intellectual property and regulatory program, including applicable policies, procedures and training, and coordination with other internal business functions
Key Responsibilities:
• Serve as a trusted advisor to leadership, providing proactive legal guidance on regulatory requirements, compliance, and risk management within healthcare technology and data privacy.
• Oversee and manage legal strategies for data governance, cybersecurity, and privacy to ensure compliance with HIPAA, HITECH, TEFCA, and other evolving regulations, while balancing business objectives with ethical standards.
• Quarterback health information network approvals and other government and regulatory-facing initiatives, leveraging direct healthcare government and policy expertise to navigate requirements and align submissions with regulatory and organizational goals.
• Lead the negotiation, drafting, and review of complex agreements, including partnerships, customer contracts, and vendor agreements, especially those involving data governance and information security.
• Manage litigation and dispute resolution efforts, engaging with external counsel as needed to protect company interests.
Regulatory Compliance and Risk Mitigation:
• Stay ahead of regulatory developments and ensure legal compliance in new product development and marketing initiatives. Proactively address regulatory exposures and risks across sales, data security, and cross-border operations.
• Develop training for internal teams on compliance, privacy, and regulatory standards to deepen understanding and reinforce ethical, patient-focused practices.
Required Qualifications:
• JD from an accredited law school with an active U.S. State Bar membership in good standing
• 3+ years of relevant legal experience, preferably including in-house experience
• Experience with healthcare regulations (HIPAA, Stark Law, Anti-Kickback Statute)
• Strong contract drafting and negotiation skills
• Excellent written and verbal communication abilities
• Ability to work independently while managing multiple priorities
• Strong analytical and problem-solving skills
• Proven legal experience covering multiple aspects of corporate law including business development, corporate contracting, employment, intellectual property, security and compliance, privacy, corporate governance
• Exceptional judgment, negotiation, and organizational skills; ability to translate legal advice into actionable business solutions; capacity to prioritize and address complex issues in alignment with company mission and values of integrity, curiosity, boldness, and persistence.
