Job Description

Tiverton is seeking a highly qualified, experienced Senior Associate Counsel who will play a pivotal role in providing legal and administrative services within the company’s growing Legal Department. The Senior Associate Counsel would be under the direct supervision of both Tiverton’s General Counsel and Chief Compliance Officer. This is a full-time, in-person position at our headquarters in Raleigh, North Carolina.  The successful Senior Associate Counsel will be comfortable overseeing a myriad of legal matters related to private credit and private equity transactions, self-motivated, and energized by working with a group of thoughtful, smart, and skilled colleagues.  

  • Draft, review, and negotiate private credit investments, private equity investments, real estate-related transaction documents, and portfolio company agreements
  • Provide day-to-day legal support to the Company’s internal business teams and investment personnel (ex. review of contracts, agreements, compliance documents and regulatory filings)
  • Facilitate communication between legal department and other company functions internally and externally
  • Oversee corporate governance including filing and organization of legal documents and records
Qualifications
  • Juris Doctorate Degree from a nationally accredited university and active membership in a U.S. state bar
  • Minimum of 4 years relevant experience working at a top-tier law firm
  • Experience drafting and negotiating private credit and/or equity investment agreements and related documents
  • Demonstrated excellence in legal drafting and communication
  • Demonstrated initiative and ability to work in a fast-paced environment and across diverse matters
  • Proficient in using office productivity tools such as Microsoft Office Suite (Word, Excel, PowerPoint, Outlook)
  • Attention to detail and high level of accuracy in completing assigned tasks
  • Ability to handle confidential information with integrity and discretion
  • Diverse research and problem-solving skills to gather background information and relevant court records for cases
  • Strong interpersonal skills and the ability to work well with internal and external parties
