Corporate Counsel

Broussard Brothers is seeking a dynamic and experienced Corporate Counsel to join our team!

The Corporate Counsel will be responsible for providing legal support across various aspects of the business, with a primary focus on contract negotiation, risk management, corporate governance, and litigation oversight. This position will work closely with senior management, project teams, and external counsel to ensure the company’s legal interests are protected while facilitating business operations. Essential Functions:

• Review, draft, and negotiate contracts to align with the company’s risk management strategies.
• Provide legal counsel and guidance on corporate governance matters, lease agreements, insurance renewals, and compliance-related issues.
• Oversee and manage legal demands, including minor legal proceedings such as collection actions and defense/indemnity tenders.
• Manage and respond to subpoenas, records requests, and wage garnishments.
• Assist with litigation strategy and oversee outside legal counsel when necessary.
• Provide legal support to various departments on risk assessments, contract strategies, and corporate policies.
• Support insurance claim documentation and related legal matters.
• Ensure adherence to document retention policies and assist with discovery requests.
• Perform additional duties as requested by the CEO.

• Must have a working knowledge of Microsoft Office including Outlook, TEAMS, and Word. Must be proficient in Microsoft Excel.

Education/Experience Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Active bar membership in good standing.
• Minimum of 5 years of legal experience (or relevant experience) in corporate law, contract negotiation, or risk management.
• Experience with litigation and ability to work with outside counsel.
• Strong contract negotiation and risk assessment skills.
• Ability to work independently and provide practical, business-oriented legal solutions.
