Position Summary
We are seeking a talented and experienced Mid-Senior-Level Associate Attorney to join our Banking + Finance Practice Group. This position offers an exciting opportunity to work on cutting-edge private credit transactions and collaborate with a team of accomplished professionals in a dynamic and innovative environment.
 
Job Description 
  • Advise and represent direct lenders, private credit funds, institutional investors, and investment banks in a variety of corporate finance transactions.
  • Structure, draft, and negotiate documentation for leveraged buyouts, acquisition financings, recapitalizations, and other complex private credit transactions.
  • Handle first lien, stretch senior, second lien, and subordinated loan transactions, as well as structured equity investments and non-traditional preferred stock financings.
  • Provide strategic counsel on equity co-investments and other complex financing structures.
  • Collaborate closely with clients and interdisciplinary teams to ensure the successful execution of transactions.
  • Conduct legal research and provide advice on compliance with applicable laws and regulations.
  • Maintain up-to-date knowledge of industry trends, market practices, and legal developments affecting private credit and corporate finance.
Qualifications
  • Juris Doctor (JD) from an accredited law school with a strong academic background.
  • Admission to the New York Bar is required.
  • At least 3 years of corporate legal experience, with significant exposure to private credit transactions.
  • Demonstrated expertise in structuring and executing complex financial transactions, including first lien, and second lien loans, subordinated debt, and structured equity investments.
  • Strong oral and written communication skills, with a meticulous attention to detail.
  • Ability to manage multiple priorities in a fast-paced, deadline-driven environment.
  • Proven track record of delivering high-quality client service and building strong client relationships.
