Position Overview
Innventure, Inc., an industrial growth conglomerate listed on Nasdaq, is seeking an initiative-taking and versatile Assistant General Counsel with a minimum of 5 years of experience at a top-tier national law firm and some in-house public company experience. The ideal candidate will have experience with SEC reporting, drafting and negotiating a wide variety of financing and commercial contracts, M&A and capital markets transactions, compliance, managing corporate governance matters and advising companies in a variety of stages. This individual must thrive in a fast-paced, dynamic environment, possess excellent judgment and communication skills, and be able to prioritize and manage multiple projects simultaneously.
Key Responsibilities
Securities Compliance
- Support compliance with securities laws and Nasdaq listing standards.
- Prepare, review, and file SEC reports and filings, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and registration statements.
Financing/Commercial Contracting
- Draft, review, and negotiate a broad range of financing/commercial agreements, including securities purchase agreements, loan agreements, technology acquisition agreements, licensing agreements, strategic partnerships, engagement letters, vendor agreements, and confidentiality agreements.
- Partner with business teams to support strategic initiatives and ensure contract terms align with corporate goals and risk profiles.
Corporate Governance, Compliance and General Corporate Support
- Advise on corporate governance matters, including board and committee support, drafting resolutions, maintaining corporate records, and assisting with stockholder meeting preparations.
- Assist with maintaining and enhancing internal compliance programs, including insider trading, corporate policies, and disclosure controls.
- Provide practical, business-focused legal advice across functional departments, including Finance, HR, Investor Relations, and Marketing.
- Identify and escalate legal or regulatory risks and propose solutions.
- Collaborate with outside counsel as needed.
Qualifications
- J.D. from an accredited U.S. law school and active membership in good standing with at least one state bar.
- 5+ years of experience at a top-tier national law firm; in-house public company experience strongly preferred.
- Demonstrated experience preparing and reviewing SEC filings and advising on securities law matters.
- Strong background in drafting and negotiating a wide range of contracts.
- Excellent understanding of corporate governance requirements applicable to public companies.
- Experience with M&A and capital markets transactions.
- Experience supporting a high-growth or technology-driven business.
