Title: Corporate Paralegal
The Corporate Paralegal will be responsible for assisting with matters relating to management of the company’s project-level subsidiary entities and other corporate needs, as well as matters relating to the company’s integrity due diligence and other compliance areas, including, but not limited to, formation, dissolution and foreign registrations of limited liability companies, management of annual reporting and good standing requirements, assistance with preparation and review of corporate organizational and authority documents and other corporate-related agreements and due diligence, processing and tracking integrity due diligence screenings, and other administrative support tasks related to corporate and compliance matters within the company. This position will report directly to the company’s General Counsel, and will have regular interaction with the company’s management, development, construction, business development, asset management, and finance teams.
Roles & Responsibilities:
- Prepares and files formation and dissolution documents for LLCs in Virginia and/or other states as needed
- Registers foreign LLCs to do business in states outside of Virginia
- Manages compliance with annual fees, reporting and other compliance requirements to maintain good standing for LLCs in Virginia and other states
- Handles requests for good standing certificates, tax ID numbers, and certified copies of organizational documents
- Manages file organization and maintains detailed status and tracking information for all corporate filings and status of entities.
- Assists with preparation of organizational charts, operating agreements, incumbency certificates, authorizing resolutions and other corporate governance documentation
- Conducts integrity due diligence (IDD) screenings and reports on company counterparties
- Manages file organization and maintains detailed status and tracking information for all existing IDD approvals, renewals and expirations
- Assists with implementation and monitoring of other compliance-related programs within the company
- Provides corporate and compliance due diligence support and closing deliverables for real estate acquisitions & leasing, project finance and M&A transactions
- Interacts directly with applicable Equinor stakeholders, external counsel and other third parties, where needed, in connection with corporate and compliance-related matters
- Contributes to creating, developing, improving, and implementing processes, procedures, best practices, systems, and controls within the corporate and compliance areas, including assistance with maintenance, management, and updates to the company’s standard forms
- Performs other related duties and special projects as assigned
Skills:
- Excellent written, verbal and non-verbal communication; able to communicate to audiences with varying degrees of technical/legal understanding
- Strong negotiation and presentation skills
- Proficiency with Microsoft products (Word, Excel, PowerPoint, Teams, Outlook, )
- Strong organizational skills and attention to detail
- Experience in renewable energy industry preferred
- Experience handling corporate filings in multiple states, including Virginia, preferred
- Experience working with IDD or similar know-your-customer corporate compliance programs preferred
- Experience using Salesforce preferred

Education & Experience:
- 4-year university degree, BS or BA or equivalent, relevant professional experience
- 2+ years of experience directly related to the duties and responsibilities specified
Travel & Time Commitment:
- Limited travel related to company retreats, possibly industry conferences and site visits
- This is a full-time, exempt salaried position. Standard office hours are from 8:30 AM – 5:30 PM EST. The demands of projects may require work outside of these times
