Job Description

Duties/Responsibilities:

  •  Commercial Contracts: Negotiate and document commercial midstream transactions related to the gathering, processing, transportation and storage of natural gas and liquid energy products.  
  • Financing Transactions and Compliance: Negotiate and draft transaction documents and coordinate internal resources in connection with HEP’s financing activities, including credit agreements, high yield notes indentures, treasury and credit support related documents, and other corporate finance instruments. Monitor ongoing compliance with HEP’s existing financial covenants.
  • Corporate Development: Conduct legal research and due diligence, negotiate and draft transaction documents, and coordinate internal resources in connection with business development initiatives, acquisitions, and investments. 
  • Risk Management: Identify potential legal and regulatory risks associated with commercial and corporate development activities and collaborate with internal teams to develop strategies for risk mitigation. 
  •  Training and Education: Assist in developing training materials for internal teams on legal and compliance topics relevant to the industry. 
  • Perform other related duties as assigned.

Required Skills/Abilities:

  • Ability to prioritize conflicting demands and work under tight deadlines
  • Ability to develop and sustain positive relationships with internal and external clients and customers.
  • Strong analytical, oral and written communication skills
  • Ability to work independently with minimal supervision
  • Enthusiasm for a collaborative team environment

Education and Experience:

  • Juris Doctor (J.D.) degree from an accredited law school
  • Active bar membership and good standing
  • 4+ years of legal experience, preferably with a focus on midstream oil and gas commercial transactions, mergers and acquisitions, or corporate finance.

Certifications:

  • None required

Travel:

Travel required locally or long-distance up to 20% of the time for work-related meetings and functions.

Equipment:

Computer, computer software programs and peripherals, resource materials and equipment, copier, fax, and other equipment applicable to the position.  

Mental and Physical Demands:

General office and sedentary. Regularly required to sit; use hands to handle or feel; reach with hands and arms; and talk or hear. Specific vision abilities required by this job include close vision, distance vision, peripheral vision, depth perception and ability to adjust focus. Walking, standing, stooping, bending, pulling, and pushing; occasional: lifting/carrying, pulling/pushing up to 30 pounds. 

Maintain emotional control under stress, work with interruptions and deadlines.

May work evenings, weekends, and holidays as needed.

Environmental Factors:  

Occasional exposure to biological hazards (communicable diseases, bacteria, insects, mold, fungi, etc.). Occasional exposure to weather related conditions when working in an outdoor environment.
