SUMMARY OF POSITION
Responsible for commercial contracts, M&A, and corporate matters.
ORGANIZATION STRUCTURE
Associate Director, Legal Affairs is a member of the Legal Department, reporting to the Vice President, Legal Affairs.
RESPONSIBILITIES
Primary responsibilities of this role include the following:
- Drafting and negotiating a variety of commercial contracts, including supply agreements, development & license agreements, asset purchase agreements, and service agreements.
- Engaging in all aspects of mergers & acquisitions (M&A), including due diligence and contract drafting and negotiation.
- Assisting with corporate matters, including inter-company, lender, and credit agreements, and Company organization.
- Opportunity to assist with other legal and compliance tasks, as needed.
QUALIFICATIONS
- Juris Doctorate, eligible for NJ in-house counsel license.
- Five (5) to seven (7) years of experience practicing at a law firm or as in-house counsel (pharmaceutical industry experience preferred).
- Ability to spot and analyze legal issues, make independent decisions and exercise independent judgment in performance of duties consistent with instructions and oversight by supervisor.
- Ability to work with cross-functional stakeholders across the Company and to perform tasks in compliance with applicable law and ethical rules.
