Job Description

Job Summary

The General Counsel will oversee the company’s legal, regulatory compliance, and risk management functions. This position is especially focused on ensuring that company operations align with applicable laws and regulatory standards, as well as overseeing the negotiation, review, and management of commercial contracts. The General Counsel will serve as a key member of the executive team, providing strategic legal advice and guidance across a range of areas, including oil and gas operations, employment law, environmental regulations, and corporate transactions.

Essential Duties & Responsibilities:

  •      Lead the company’s regulatory compliance efforts, including the development and implementation of internal policies and procedures to ensure adherence to applicable laws and industry standards.
  •      Review, draft, and negotiate a broad range of contracts, including master service agreements, consulting agreements, oil and gas leases, confidentiality agreements, operational agreements, and sales contracts.
  •      Provide legal guidance on complex business transactions, including acquisitions, divestitures, and joint ventures.
  •      Advise executive leadership on legal risks and implications related to company strategies, operations, and business processes.
  •      Manage internal compliance, risk management, and legal services.
  •      Work closely with the executive team and department heads to ensure cross-functional legal and regulatory support.
  •      Serve as key legal advisor on employment matters and business policies.
  •      Oversee the selection, retention, and management of outside counsel, ensuring effective and cost-efficient legal representation.
  •      Manage and participate in litigation strategy, including attending hearings and reviewing legal filings.
  •      Develop and maintain standard form agreements and contracting procedures.
  •      Support the company’s insurance and risk management functions, including claims reporting and resolution.
  •      Attend executive-level meetings related to corporate strategy, mergers and acquisitions, and policy development.

Qualifications:

Education

o   Law degree

o   Admitted to the bar

o   Experience managing other attorneys and supervising support staff in a corporation; experience with cost-effective management of outside legal resources.

Industry Experience:

  •       A minimum of five years’ experience as a practicing lawyer with exposure to the energy sector, regulatory compliance, and commercial transactions
  •       Experience working on corporate governance and advising boards of directors

 

Specialized Knowledge:

  •      In-depth knowledge of contract law and regulatory frameworks, especially in oil and gas, environmental compliance, and employment law.
  •      Proficient in legal research and writing.
  •      Experience managing legal teams or support staff and overseeing outside counsel.

  •  Exceptional organizational and time management skills.
  • Ability to translate complex legal concepts into practical business advice.

Working Conditions

  •      Position is based in the company's corporate office in Denver, Colorado
  •      Normal office environment with periodic field visits or travel to the Parachute, Colorado office as needed
